2. Other Agreements. By execution of this Contract, DEVELOPERS acknowledge <br />the Subject Property and its development contemplated by the Final Plat is subject to the terms <br />and conditions of that certain other documents entitled: <br /> <br /> "CITY OF RAMSEY <br />MASTER DEVELOPMENT AGREEMENT <br />FOR RAMSEY TOWN CENTER <br /> By and Between <br /> CITY OF RAMSEY. <br /> And <br /> RAMSEY TOWN CENTER LLC <br /> Dated September 17, 2003" <br /> <br />(the "Master Development Agreement") <br /> <br />and <br /> <br />"FIRST AMENDMENT TO CITY OF RAMSEY <br />MASTER DEVELOPMENT AGREEMENT <br />FOR RAMSEY TOWN CENTER <br /> By and Between <br /> CITY OF RAMSEY <br /> And <br /> RAMSEY TOWN CENTER LLC <br /> Dated February 28, 2005 <br /> <br />(the "First Amendment") <br /> <br />And <br /> <br /> "ESCROW AGREEMENT'' <br /> By and Between <br /> CITY OF RAMSEY <br />And RAMSEY TOWN CENTER LLC <br />And D.R. DEVELOPERS further acknowledge, by <br />execution of this Contract, receipt of a copy of the aforementioned agreements. <br /> <br />In the event of a conflict between the terms of this Contract and the terms of the <br />aforementioned agreements shall control. <br /> <br /> 3.
