First payment due within thirty days of executed agreement date: $1,000.00 <br />Second payment due 11/15/05:$1,000.00 <br />Third payment due: 03/15/06:$1,000.00 <br />Fourth payment due: 07/15/06:$1,000.00 <br />Final payment due upon completion of the cinema project or upon completion of the stated <br />contract period: $1,000.00 <br /> <br />The stated fee is heavily discounted from fees ordinarily paid by private parties for the same <br />services. The sole reason for the discounted fee is that the "Consultant" is a seven-year resident <br />of Ramsey, and believes that a completed multiplex cinema for the RTC will enhance the <br />community. <br /> <br />EXPENSES. PSFB shall be fully reimbursed for travel expenses incurred during any approved <br />travel directly related to the RTC cinema project. <br /> <br />TERM/TERMINATION. The services of PSFB shail terminate upon completion of the dinema <br />project, or on 12/31/06, whichever occurs first. The Consultant's services may be retained <br />beyond 12/31/06 by mutual agreement of the parties. <br /> <br />RELATIONSHIP OF PARTIES. The parties understand that the Consultant is an independent <br />contractor with respect to the City, and not an employee of'the City. The City will not provide <br />fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, <br />for the benefit of the Consultant. <br /> <br />DISCLOSURE. The Consultant is required to disclose any outside activities or interests that <br />conflict or may conflict with the best interests of City. Prompt disclosure is required under this <br />paragraph if the activity or interest is related, directly or indirectly to any activity that the <br />Consultant may be involved with on behalf of the City. <br /> <br />A1 present, the City is in active negotiation with Muller Family Theatres regarding the potential <br />development of the RTC cinema project. Muller Family Theatres is one of the many possible <br />and desirable theatre operators that could be Considered for a cinema development of this scope <br />and quality. The Consultant has represented Muller Family Theatres as their booking agent on a- <br />fee basis for ten years, and would likely serve as the booking agent for the RTC cinema if Muller <br />Family Theatres is awarded the project. <br /> <br />The Consultant pledges they will fully represent the best interests of the City in the cinema <br />development, planning, and negotiation process. <br /> <br />EMPLOYEES. The provisions of this Agreement shall also bind the Consultant's employees <br />who perform services for the City under this Agreement. <br /> <br />CONFIDENTIALITY. The City may from time to time share confidential informhtion with the <br />Consultant. The Consultant will be notified by the City in writing identifying which information <br />is considered confidential.
