This Agreement may be terminated by the State or the Recipient at any time with or without cause upon <br />thirty (30) days' written notice to the other party. In the event of such a cancellation, the Recipient shall <br />be entitled to payment determined on a pro rata basis for work or services satisfactorily performed. <br />11.3 AMENDIVIENTS <br />Amendments to this Agreement must be in writing and are with the mutual agreement of the State and <br />the Recipient. Amendments must be consistent with the Work Program and its approved amendments. <br />11.E WORK PROGRAM AMENDMENTS <br />Any Amendments to the work program must be submitted in writing to and formally approved by the <br />LCMR Director or Commission before they are effective. These will include changes in planned <br />activities in the Results section of the Work Program or changes in budgeted line items. <br />12. ANTI-TRUST PRoVISIoN <br />The Recipient hereby assigns to the State of Minnesota any and all claims for overcharges as to goods <br />andlar services provided in connection with the Agreement resulting from antitrust violations that arise <br />under the antitrust laws of the United States and the antitrust laws of the State of Minnesota. <br />13.
