FOURTH AMENDMENT <br />TO <br />PURCHASE AGREEMENT <br />This Fourth Amendment to the Purchase Agreement by and between the City of Ramsey, <br />a Minnesota municipal corporation ("Seller"), and GIGI'S SALON AND SPA, INC. and/or its <br />assigns, a Minnesota Corporation ("Buyer"), with an Effective Date of November 26, 2019, is <br />entered into as of the latest signature date set forth below. <br />Recitals <br />1. CLOSING. The Buyer and Seller desire to extend the Closing Date from May 31, 2021 to <br />July 31, 2021. <br />2. SALE OF PROPERTY. The Property was platted, resulting in a new legal description of <br />Lot 1, Block 1, Gigi Addition. <br />3. PURCHASE PRICE. The purchase price for the Property is revised to $247,324 based on <br />the dimensions of the platted parcel. This calculation is based on $4.00 per usable square foot <br />on 1.42 acres (61,831 square feet). <br />Agreement <br />1. AMENDMENT APPROVAL. Buyer and Seller hereby approve this Fourth Amendment to <br />the Purchase Agreement, with a revised Closing Date, legal description and purchase price as <br />described in the above Recitals, which are incorporated herein. <br />2. REMAINING TERMS. All other provisions of the Purchase Agreement, as amended, <br />remain unchanged except to the extent inconsistent with the terms of this Fourth <br />Amendment. The terms used in this Fourth Amendment have the same meaning as in the <br />Purchase Agreement. <br />[Signature blocks on the following page.] <br />
