Jerry :Bauer <br />is a .member.of our Board of Directors .and is'related-to David EtVig :an <br />elected official. <br /> <br />Mr. Bauer is not an employee of the bank and his only compensation is' <br />limited to a monthly fee for attending, the Board meetings. He does not <br />have any ownership interest in the bank nor does he share in any of'the <br />profits generated bythe bank. To avoid any conflicts of,interest, Mr. <br />Bauerwill abstain from discussions related to the.City of Ramsey. <br /> <br />B. Describe any formal independence guidelines used by your institution. <br /> <br />Village Bank operates under a strict set of policies and procedures which <br />govern employee activities relating to our institution.
