Registered Owner means the person in whose name a Bond is registered on the books <br /> maintained for the registration of Bonds,initially, Cede&Co. as nominee of DTC or any successor <br /> nominee of the Depository. <br /> Released Property means any Mortgaged Property released from the Mortgage pursuant to <br /> the provisions of Section 4.5 of the Mortgage and Section 8.5 of the Loan Agreement. <br /> Reserve Fund means the fund created pursuant to Article V of this Indenture. <br /> Reserve Fund Requirement means (i) $ with respect to the Series 2022 Bonds and, <br /> (ii), with respect to any series of Additional Bonds, the least of(a) ten percent (10%) of the stated <br /> principal amount of such Bonds(or ten percent(10%)of the issue price in the event the such Bonds <br /> have more than a de minimis amount of original issue discount or premium); (b) the maximum <br /> annual debt service with respect to such Bonds; (c) one hundred twenty-five percent(125%) of the <br /> average annual debt service on such Bonds; or (d) the amount required by the Original Purchaser <br /> with respect to such Additional Bonds. <br /> Responsible Officer means, when used with respect to the Trustee, any officer within the <br /> corporate trust department of the Trustee, including any vice president, assistant vice president, <br /> assistant secretary, assistant treasurer, trust officer or any other officer of the trustee who <br /> customarily performs functions similar to those performed by the persons who at the time shall be <br /> such officers, respectively, or to whom any corporate trust matter is referred because of such <br /> person's knowledge of and familiarity with the particular subject and who shall have direct <br /> responsibility for the administration of this Indenture. <br /> Revenue Fund means the fund created pursuant to Article V of this Indenture. <br /> School Documents means the Bond Purchase Agreement, the Lease, the Continuing <br /> Disclosure Agreement, the Pledge Agreement, the Account Control Agreement, [the <br /> Intercreditor Agreement,] the Subordination Agreement, the Disbursing Agreement, the Tax <br /> Certificate, [the Bank Qualified Fee Agreement,] and any other document executed by the <br /> Charter School in connection with the issuance of Bonds. <br /> School Facilities means, collectively, the Elementary School Campus and the Upper <br /> School Campus. <br /> Security Agreements or Security Documents means, collectively, this Indenture, the Loan <br /> Agreement, the Lease, the Mortgage, the Assignment of Lease, the Intercreditor Agreement, the <br /> Account Control Agreement, the Disbursing Agreement, the Collateral Assignment, the <br /> Subordination Agreement, and the Pledge Agreement, all as the same may be amended or <br /> supplemented from time to time. <br /> Series 2022 Bonds means, together, the Series 2022A Bonds and the Series 2022B Bonds. <br /> Series 2022A Bonds means the Charter School Lease Revenue Refunding Bonds (PACT <br /> Charter School Project) Series 2022A, in the original aggregate principal amount of$ , and <br /> issued by the Issuer under and secured by this Indenture. <br /> 18 <br /> 735810810 <br />
