CITY OF RAMSEY <br />DEVELOPMENT AGREEMENT FOR PACT CHARTER SCHOOL <br />This Agreement (hereinafter the "Agreement") is dated as of this day of , <br />2022, and is by and between the CITY OF RAMSEY, a Minnesota charter city and municipal corporation <br />(the "CITY") and PCS Building Company, a Minnesota nonprofit corporation (the "PERMITTEE"). <br />Recitals <br />A. The Church of Saint Katharine Drexel, Ramsey, Minnesota, a Minnesota <br />religious corporation (the "CHURCH"), was the owner of land legally described on the attached <br />Exhibit A (the "Church Property"). <br />B. The CITY has approved the subdivision of the Church Property and the platting <br />of the Church Property as PACT ADDITION (the "Plat"). <br />C. After recording of the Plat, the PERMITTEE acquired and is currently the owner <br />of a portion of the platted land legally described on the attached Exhibit B (the "Subject Property"). <br />D. The PERMITTEE and the CHURCH have entered into that certain Reciprocal <br />Easement Agreement (the "REA"), dated of even date herewith and to be recorded in the Registrar <br />of Titles in and for Anoka County, Minnesota, pursuant to which the PERMITTEE has obtained <br />certain utility, drainage, shared parking and development rights for the benefit of, and appurtenant <br />to, the Subject Property, and which burden Outlots A and B of the Plat. <br />Agreement <br />1. Recitals Incorporated. The recitals stated above are hereby incorporated into this <br />Agreement and are made part of this Agreement by reference. <br />2. Conditions of Approval. The CITY approved the Plat subject to satisfaction of the <br />following conditions subsequent: <br />a. The PERMITTEE' S Execution of this Agreement. That the PERMITTEE enters <br />into this Agreement. <br />b. Marketable Title. That prior to recording the Plat, the PERMITTEE shall <br />provide the CITY with proof that PERMITTEE shall have marketable title <br />to the Subject Property (after the recording of the deed conveying title to <br />the Subject Property) through a title insurance commitment or proforma title <br />insurance policy. <br />c. Proof of Authority. That the PERMITTEE provide proof that the governing <br />board of the PERMITTEE has authorized the PERMITTEE'S execution <br />of this Agreement. This proof of authority may be satisfied by providing the <br />CITY with a certified copy of the minutes or resolutions of such governing <br />board. <br />1 <br />
