<br />Councilmember Musgrove introduced the following resolution and moved for its adoption: <br /> <br />RESOLUTION #22-242 <br /> <br />RESOLUTION APPROVING CANCELLATION OF PURCHASE AGREEMENT WITH <br />JAVA COMPANIES, LLC FOR PARCEL 50 <br /> <br /> WHEREAS, the City of Ramsey and Java Companies LLC entered into a purchase <br />agreement for land described as Outlot A, Java Auto Parts now known as Tax ID Number 28-32- <br />25-41-0024 on December 15, 2021 (the “Property”); and <br /> <br /> WHEREAS, the City of Ramsey and Java Companies LLC entered into a First <br />Amendment to Purchase Agreement for the Property on August 2, 2022 which extended the <br />Inspection Period to December 15, 2022; and <br /> <br /> WHEREAS, Java Companies, LLC provided written notice to cancel the Purchase <br />Agreement for the Property within the Inspection Period, prior to giving a Notice to Proceed; and <br /> <br /> WHEREAS, the Ramsey EDA met on October 13, 2022 and made a formal <br />recommendation to the City Council to accept the request for a Cancellation Agreement with Java <br />Companies, LLC; and <br /> <br /> WHEREAS, the City Attorney has reviewed the Cancellation Agreement and has <br />approved to form and content. <br /> <br />NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF <br />RAMSEY, ANOKA COUNTY, STATE OF MINNESOTA, as follows: <br /> <br />1) That the City Council hereby authorizes approval and execution of the Cancellation <br />Agreement with Java Companies, LLC and refunding of the $10,000 Earnest Money and <br />$5000 Additional Earnest Money to Java Companies, LLC. <br /> <br />The motion for the adoption of the foregoing resolution was duly seconded by Councilmember <br />Howell, and upon vote being taken thereon, the following voted in favor thereof: <br /> <br /> Acting Mayor Riley <br /> Councilmember Musgrove <br /> Councilmember Howell <br /> Councilmember Heineman <br /> Councilmember Specht <br /> <br />and the following voted against the same: <br /> <br /> None <br /> <br /> <br /> <br />
