3. CONSIDERATION. <br /> <br />3.1 The CITY shall receive as consideration roi its conveyance of the City Property <br /> the following: <br /> <br />3.1.1 Conveyance of marketable title to the GM Property. <br /> <br />3.1.2 Installation by GM, at GM'S expense, of the following public streets: <br /> <br />3.1.2.1 Helium Street NW to its southerly boundary with Alpine Street <br /> NW. <br /> <br />3.1.2.2 Street stub for 152na Avenue NW and Germanium Circle. <br /> <br />3.1.2.3 <br /> <br />Reconstruct and realign the access from the existing Fire <br />Station Facility and rebuild the entrance from Nowthen <br />Boulevard to the yet to be named CITY street to the east, <br />which Street "2" as referenced in the Preliminary Plat for <br />Meadow dated September 30, 2005, revised October 18, 2005, <br />drawn by Pioneer Engineering. <br /> <br />3.1.3 <br /> <br />All street construction required by GM to be performed shall be done to <br />CITY street construction performance standards and other construction <br />requirements as will be described in the City's standard Development <br />Agreement for the Meadow Plat.. In addition, street construction shall <br />be scheduled so as to maintain at all times ingress and egress to the <br />City's existing fire station facility. Said street construction shall also be <br />coordinated with the City in order to accommodate the traffic and <br />parking needs of the City's annual Happy Days community celebration. <br /> <br />3.2 GM shall receive the City Property as its consideration for conveyance of the <br /> GM Property to the CITY. <br /> <br /> 4. ACCESS TO PROPERTY AND CONTINGENCY. Each party grants permission <br />of access to their respective parcel for testing and surveying purposes. <br /> <br /> 5. FLOOD PLAIN. Each party warrants that their respective parcel is not in the <br />designated 100 year flood plain area. <br /> <br /> 6. PREFERENTIAL TAX TREATMENT. Each party warrants that their respective <br />parcel does not receive preferential tax treatment. (i.e., Green Acres, etc.) <br /> <br />A. AS TO THE CITY PROPERTY: <br /> <br /> 7. DEED/MARKETABLE TITLE. Upon performance by GM, CITY shall deliver a <br />General'Warranty Deed, conveying marketable title to the City Property subject only to: <br /> <br />7.1 Building and zoning laws, ordinances, state and federal regulations; <br /> <br />-243- <br /> <br /> <br />
