No failure or delay on the part of the City in exercising any right, <br />power or privilege hereunder and no course of dealing between the Developer and the City shall operate <br />as a waiver thereof; nor shall any single or partial exercise of any right, power or privilege hereunder <br />preclude any other or further exercise thereof or the exercise of any other right, power or privilege. <br />8.7 Amendment and Waiver. Neither this City Loan Agreement nor any provision <br />hereof may be modified, waived, discharged or terminated orally, but only by an instrument in writing <br />signed by the party against whom enforcement of the change, waiver, discharge or termination is sought. <br />In the event any agreement contained in this City Loan Agreement should be breached by any party and <br />thereafter waived by any other party, such waiver shall be limited to the particular breach so waived and <br />shall not be deemed to waive any other concurrent, previous or subsequent breach hereunder. <br />8.8 Counterparts.
