Goodrich, Esquire <br />Randall, Dehn & Goodrich <br />320 East Main Street <br />Anoka, Minnesota 55303 <br /> <br />Dear Mr. Goodrich: <br /> Pursuant to the Real Estate Purchase and Sale Agreement <br />(the "Agreement') between the City of Ramsey and Waste <br />Management of Minnesota, Inc. ("Waste Management') dated <br />September 10, 1984, Waste Management wishes to close the <br />purchase and sale on or before December 12, 1984, in the <br />offices of Leonard, Street and Deinard. Provided that a <br />permit to extract cover material is issued as applied for in <br />Waste Management's application to the City of Ramsey, dated <br />November 9, 1984, Waste Management agrees at closing to <br />waive the contingency that the City of Ramsey will issue to <br />Waste Management a conditional use permit for expansion into <br />the areas north and south of the current landfill <br />site. Waste Management waives no other contingencies, but, <br />pursuant to the agreement, retains the right to waive <br />additional contingencies prior to the final Deadline Date if <br />it deems appropriate. <br /> We should meet at your earliest opportunity to address <br /> the various items which need to be resolved prior to <br /> closing; for example, the settlement of the Anoka/Ramsey <br /> lawsuit. I will call you within the next day or two to make <br /> arrangements for that meeting.
