Upon the purchase of the h~tercbange Property, the City shall be relieved of its' obligation <br />under J-PA 2005-0516 to assist the County in finding suitable replacement property for 4F or <br />6F encroachments on other park land for a potential river crossing between Dayton and <br />i~amsey. <br /> <br />TERM <br /> <br />This Agreement shall continue until terminated as provided hereinafter. <br /> <br />STR [CT ACCOB~"YABILITY <br /> <br />A strict accoutering shall be made of all funds and a report of all receipts and disbursements <br />shall be made upon request by either party. <br /> <br />TEI{M/~NATION <br /> <br />This Agreement may be terminated by either party at any time, with or without cause, upon not less <br />than 15 days written notice delivered by mail or in person to the other party. If notice is delivered by <br />mail, it shall be deemed to be received two days after mailing. Such term/nation shall not be e£fective <br />with respect the purchase of the Interchange Property by the City or the sale of Outlot B, Tooth Acres <br />by tile County to the City, which occun'ed prior to such notice of ternrination. <br /> <br />Vii. <br /> <br />For purposes o£ dclivery of any notices herein, the notice shalI be efl'ective il'delivered to the County <br />Administrator of Anoka Cmmty, 2100 Third Avenue, Amoka, Mirmesota 55303, on behalf ot'the <br />Cotmty, and to the City Administrator of Ramsey, 15153 Nowthen Boulevard, Mirmesota 553'03. <br /> <br />VI£L <br /> <br />INDEMNIFIUCATION <br /> <br />The City and Couuty mutually agree to indemnify and hold harmless each other ftom any claims, <br />losses, costs, expenses or damages resulting l'rom the acts or omissions of the respective officers, <br />agents, or employees relating to activities conducted by either party under this Agreement. <br /> <br />ENTII,tI;i AGI~.EEMENT REQ[JIR~MENT OF A WRITING <br /> <br />it is undm stood and agreed that the entire agreement ot'the parties is contained herein and that this <br />Agreement supersedes ail oral agreements and all negotiations between the parties relating to the <br />subject matter thereot; as well as any previous a~eement presently in effect between the parties to the <br /> <br />3 <br /> <br /> <br />
