Upon the purchase of the h~tercbange Property, the City shall be relieved of its' obligation under J-PA 2005-0516 to assist the County in finding suitable replacement property for 4F or 6F encroachments on other park land for a potential river crossing between Dayton and i~amsey. TERM This Agreement shall continue until terminated as provided hereinafter. STR [CT ACCOB~"YABILITY A strict accoutering shall be made of all funds and a report of all receipts and disbursements shall be made upon request by either party. TEI{M/~NATION This Agreement may be terminated by either party at any time, with or without cause, upon not less than 15 days written notice delivered by mail or in person to the other party. If notice is delivered by mail, it shall be deemed to be received two days after mailing. Such term/nation shall not be e£fective with respect the purchase of the Interchange Property by the City or the sale of Outlot B, Tooth Acres by tile County to the City, which occun'ed prior to such notice of ternrination. Vii. For purposes o£ dclivery of any notices herein, the notice shalI be efl'ective il'delivered to the County Administrator of Anoka Cmmty, 2100 Third Avenue, Amoka, Mirmesota 55303, on behalf ot'the Cotmty, and to the City Administrator of Ramsey, 15153 Nowthen Boulevard, Mirmesota 553'03. VI£L INDEMNIFIUCATION The City and Couuty mutually agree to indemnify and hold harmless each other ftom any claims, losses, costs, expenses or damages resulting l'rom the acts or omissions of the respective officers, agents, or employees relating to activities conducted by either party under this Agreement.
