<br />Assignme~lt~ Amendments, Waiver and Contract Complete
<br />5.1 Assigmnm~t. County, thc City of Anoka, the City of Ramsey and/or Burns Tmvnship may
<br /> neither assign nor transfer any fights or obligations under this Agcement without the prior
<br /> cnnsent of the State and a fully executed Assignment Agreement, executed and approved by the
<br /> same part/es who executed and approved this agreement, or their successors in office.
<br />5.2 Ameudments. Any amendment to this A~eement must be in whting and will not be effective
<br /> until it has been executed and approved by the same parties who executed and approved the
<br /> Original Agreement, oi' their successors m oflice.
<br />5.3 Waiven If State fuiis to enforce any provision of this Agreement, that failure does not waive the
<br /> provision or its right to enforce it.
<br />5,4 C~mtract Cmnpleta This Agreement contains all negotiations and a~eements between State,
<br /> Coonty, the City of Anoka, the City of Ramsey and Burns Township. No other understanding
<br /> regarding this agreement, whether written or oral, may be used to bind any of the parties.

<br />6.1 Cotmty, the City of Anoka, the City of Ramscy and Bums To~vnship witI indemni~, save and
<br /> hold State, its agents and employees harmless from any claims or causes of action, inch~ding
<br /> attorney's lees incmred by State, afising fi'mn the performance of this A~eenrent by County, the
<br /> City of Anoka, the City of Ramsey, County's agents or employees, th.e City of Anoka's agents or
<br /> employees, the City of Ramsey's agents or employees or Burns Township's agents or
<br /> employees. This chmse will not be construed to bar any legal remedies County, the City of
<br /> Anoka, the City of Ramsey or Bums Township may have for State's lkiiure to fulfill its
<br /> obligations under this Agreement.

<br />6;tare Audits
<br />7.1 Under Minn. Stat. § 16C.05, subd. 5, County's, City of Anoka's, City of Ramsey's and Bums
<br /> Tnwoship's books, records, documents and accounting procedures and practices relevant to this
<br /> Agreement are subject to examination by the State anclJor the State Auditor or Le~slative
<br /> A uditur, as appropriate, for a minimum of six years from the end of this agreement.

<br />County, City of Anoka, City ofRamsey, Bmans Township and State must comply with the
<br />lvlinnesota Government Data Practices Act, Minn. Stat. Ch. 13, as it applies to all data provided
<br />by State under this A~'eement, and as it applies to all data created, collected, received, stored,
<br />used, maintained or disseminated by County, the City of Anoka, the City of Ramsey or Burns
<br />Township under this Agreemeut. The civil remedies of Mi~m. Stat. § 13.08 apply to the release
<br />of the data referred to in this clause by County, the City of Anoka, the City of Ramsey, Bm-ns
<br />Township or State.

<br />If County, the City of Anoka, the City of Ramsey or Bums Township receives a request to
<br />release the data referred to in this Clause, County, the City of Anoka, the City of Ramsey or
<br />Burns Township must immediately notify State. State will give County, the City of Annka, the
<br />City of' Ramsey or Bums Township instructions concerning the release of the data to the
<br />requesting party before the data is released.
