Section 10.82.4, Vice-Chairperson. The vice-chairperson shall act in the absence of <br />the chairperson and shall perform the duties of the chairperson whenever the chairperson has <br />resigned or is incapacitated and until a new chairperson is elected. <br /> <br /> Section 10.82.5. Secretary_, The secretary shall keep a true and complete record of the <br />proceedings of the Board and shall, at the discretion of the Board, prepare all notices, reports, <br />written decisions, recommendations, and such other writings as the Board may direct. <br /> <br />SECTION 10.83 <br />MEETINGS <br /> <br /> Section 10.83.1. Annual Meeting. The Annual Meeting of the Board shall be held each <br />year on the second Monday in January. <br /> <br /> Section 10.83.2. Regular Meeting. Regular meetings of the Board shall be held on <br />notice from the secretary within ten (10) working days after an appeal is filed with the Board. If <br />additional time is required, an extension to the ten (10) working days may be granted with approval <br />of the chairperson. <br /> <br /> Section 10.83.3. Special Meeting. Special meetings of the Board may be called by the <br />chairperson, vice-chairperson, or any two members of the Board by written notice filed with the <br />secretary who shall notify all members of the time and place of a special meeting as hereinafter <br />provided. <br /> <br /> Section 10.83.4. Adjourned Meeting. Any meeting of the Board may be adjourned <br />from time to time to a specified time without additional notice except that members not then in <br />attendance shall be notified of the adjourned meeting. <br /> <br /> Section 10.83.5. Notices. Notices in writing specifying the time and place for the <br />Annual Meeting shall be sent to all members. All persons who have filed appeals to be heard by <br />the Board shall be notified of the regular meeting at which the hearing shall be held, and all <br />members of the Board shall be notified of regular and special meetings. Notices for regular and <br />special meetings shall be given by such means (mail, personal service or telephone) as will provide <br />for notification at least three (3) working days in advance of the meeting. <br /> <br />SECTION 10.84 <br />QUORUM AND VOTE <br /> <br /> Section 10.84.1. Quorum. Three members of the Board shall constitute a quorum for <br />all purposes, but a lesser number may adjourn a meeting from time to time until a quorum is <br />present. <br /> <br /> Section 10.84.2. Vote, Except as provided in Section 1 of this section, all action taken <br />by the Board shall be by a majority vote of all members of the Board. <br /> <br /> Section 10.84.3. Manner of Voting. The manner of voting on all questions deciding <br />matters involved in an appeal shall be by roll call of the members in attendance. The voting on all <br />other questions before the Board shall be by voice vote. The results of all votes shall be recorded <br />in the minutes. Any member of the Board who refuses to vote on roll call shall be recorded as <br />voting in the negative. An abstention shall not be recorded as a negative vote if the member <br />abstaining believes that a conflict of interest exists because of his direct involvement in the subject <br />matter under appeal. The chairperson and all members of the Board shall be entitled to vote at <br />every meeting at which they are in attendance. <br /> <br /> <br />
