payment under this Agreement is required. However, when Contractor's use of the Property is completed <br /> and/or upon termination of this Agreement, Contractor agrees to restore the Property to the same <br /> condition as the Property was in before such use. Any damages caused by construction activities, <br /> including the crushing of materials on the land, must be repaired and restored to County/City standards. <br /> All restoration activities required by Contractor shall be at Contractor's sole cost, including the removal <br /> of any added materials on the land, grading/seeding the site, and returning the Property to its original <br /> condition. Contractor shall complete the restoration obligations no later than 90 days following <br /> completion of the Project and is authorized to go onto the Property for that purpose. <br /> IV. INSURANCE <br /> Contractor must maintain the insurance coverages set forth in the attached Exhibit C and must <br /> list the County of Anoka and City of Ramsey as additional insureds under any Commercial General <br /> Liability policies. Contractor must furnish an original Certificate of Insurance to the County and City with <br /> the required endorsements as evidence that it has met the insurance requirements. <br /> V. SUBCONTRACTING AND ASSIGNMENT <br /> Contractor may not subcontract or assign this Agreement without the County's and City's written <br /> approval. <br /> VI. INDEMNIFICATION <br /> To the fullest extent permitted by law, Contractor agrees to and shall defend and hold <br /> harmless the County and the City, including but not limited to its commissioners, councilmembers, <br /> officers, agents, and employees from any and all liability and claims concerning (including attorneys' <br /> fees), related to or resulting from the use of the Property for the purposes permitted herein. <br /> VII. COMPLIANCE WITH LAWS/ CITY PERMITS <br /> Contractor agrees to comply with all applicable federal, state, and local laws, ordinances, rules, <br /> regulations and standards of any agency or governmental entity, which are applicable to the use of the <br /> Property as provided for herein. Contractor is solely responsible to obtain any necessary City permits <br /> for activities to be performed on the Property. Such permits shall be approved by the City prior to any <br /> work being performed and Contractor shall provide a copy of such permits to the County upon request. <br /> VIII. ENTIRE AGREEMENT/ MODIFICATION <br /> It is understood and agreed that the entire Agreement between the parties is contained herein, <br /> and that this Agreement supersedes all oral agreements and negotiations between the parties relating <br /> to the subject matter. All items referred to in this Agreement are incorporated or attached and are <br /> deemed to be part of the Agreement. Any material alterations, variations, modifications, or waivers of <br /> provisions of this Agreement shall be valid only when they have been reduced to writing as an <br /> amendment and signed by the parties. <br /> IX. COUNTERPARTS; ELECTRONIC SIGNATURES <br /> This Agreement may be executed in any number of counterparts, each one of which shall be <br /> deemed to be an original, and all counterparts together shall constitute one and the same instrument. <br /> 2 <br />
