9. This Settlement Agreement may be executed in any number of counterparts, each <br />which shall constitute an original but all of which together shall constitute a single <br />agreement. <br />10. The Settlement Agreement may be amended or modified only by written <br />instrument executed by all parties. <br />11. Other than the representations made in the Settlement Agreement, no party hereto <br />has made any statement or representation to any other party hereto regarding any factor relied <br />upon in entering the Settlement Agreement and no party relies upon any statement, <br />representation or promise of any other party in executing the Settlement Agreement or in <br />making the settlement provided for herein. <br />12. Each of the parties affirms and acknowledges that it has discussed this Settlement <br />Agreement with their respective attorneys and that they have fully read, appreciates, and <br />understands the words, terms, conditions and provisions of this Settlement Agreement and is <br />fully satisfied with the same. Each of the parties further represents and warrants that the <br />person or persons executing this Settlement Agreement on its behalf has full and complete <br />legal authority to do so, and thereby binds the party on whose behalf they are signing the <br />Settlement Agreement. <br />13. The Settlement Agreement shall be governed by and construed in accordance <br />with the laws of the State of Minnesota. <br />14. The parties hereby irrevocably submit to the jurisdiction of the Anoka County <br />District Court in any action or proceeding arising out of or relating to the Settlement <br />Agreement and hereby irrevocably agree that any claim relating to or arising out of the <br />Settlement Agreement shall be brought in such Court.
