( <br />(9) <br />Termination. Either party may terminate this Agreement for the other party's <br />failure to perform its obligations under this Agreement, provided that the other party has failed to <br />cure any failures to perform its obligations after having received thirty (30) days' written notice <br />identifying a failure to perform. <br />Transfer of Records. Upon the expiration of the term of this Agreement, or <br />sooner, termination of this Agreement pursuant to paragraph II (8) above, Connexus will make <br />available to City, at the expense of Connexus; its records and data collected in the performance <br />of this Agreement, so as to enable the City or any subsequent contractor to perform the Services <br />described herein. The records and data described herein shall be in the form of computer <br />software and/or hard copies. <br />(10) Unlawful Discrimination Prohibited.
