<br />Exhibit G <br /> <br />LICENSE AGREEMENT <br /> <br />This License Agreement made and entered into this _ day of . 1996. <br />by and between and First State Bank of Isanti. a Minnesota Corporation. having its principal office <br />at 29 West Main Street, Isanti, Minnesota. 55040 (Licensor). and the City of Ramsey. a Minnesota <br />municipal corporation, having its principal office at 15153 Nowthen Boulevard Northwest, <br />Ramsey, Minnesota 55303 (Licensee): <br /> <br />WITNESSETH: <br /> <br />WHEREAS, Licensor is the fee owner of certain property located in the City of Ramsey <br /> <br />and legally described as shown in Exhibit A (Development Property); and <br /> <br />WHEREAS, the Property is within City Development District No. 1 (Development <br /> <br />District) duly established by Licensee pursuant to Minnesota Statutes. S469.124 through S469.134 <br /> <br />and S469.174 through S469.179, respectively; and <br /> <br />WHEREAS. Licensee has adopted a program (Program) for the Development District <br /> <br />which calls for Licensee to perform certain site improvement work on the Development Property <br /> <br />(cpllectively, Site Improvements), which work is more fully described in that certain Contract for <br /> <br />Private Development dated between the Licensor and the Licensee <br /> <br />"Development Agreements"; and <br /> <br />WHEREAS. the Site Improvements are for the purpose of encouraging development <br /> <br />within the Development District; and <br /> <br />WHEREAS, Licensor has agreed to make the Development Property available to the <br /> <br />Licensee for the purpose of allowing Licensee to perform the Site Improvements. <br /> <br />NOW, THEREFORE, in consideration of their mutual covenants and obligations, the <br /> <br />parties do hereby agree as follows: <br /> <br />1. Licensor hereby grants to Licensee a license to enter upon the Development Property for the <br />purpose of allowing Licensee to construct, or cause to be constructed, the Site <br />Improvements and to take any and all actions necessarily related thereto. This license <br />provides a non-exclusive right to enter upon the Development Property to Licensee and is <br />not revocable by the Licensor without Licensee's written consent <br /> <br />2. Licensee shall pay no rent to the Licensor. <br /> <br />3. The term of this license shall commence on the day fIrst written above and shall terminate <br />upon completion by the Licensee of the Site Improvements, but in no event later August <br />12, 1996, or such other date as may be mutually agreed to in writing by the parties. <br /> <br />4. Licensee agrees to carry insurance of the types and the limits required by the Development <br />Agreement. <br /> <br />Page 36 <br />
