FIRST AMENDMENT TO CITY OF RAMSEY DEVELOPMENT AGREEMENT FOR <br />TROTT BROOK CROSSING THIRD ADDITION <br />This First Amendment to the Development Agreement (the "First Amendment") is made <br />this day of , 2026, by and between the City of Ramsey, a Minnesota municipal <br />corporation (the "City") and TCLD Fund 1 Trott Brook LLC, a Minnesota limited liability <br />company (the "Permittee"). <br />RECITALS <br />A. The City and the Permittee are parties to that certain City of Ramsey Development <br />Agreement for Trott Brook Crossing Third Addition dated as of September 9, 2025, <br />recorded with the Anoka County Recorder's Office as Document No. 2452334.004 (the <br />"Agreement"). <br />B. The Agreement concerns the development of the real property legally described on Exhibit <br />A to the Agreement (the "Subject Property"). <br />C. The parties desire to amend Section 21.r of the Agreement. <br />AGREEMENT <br />1. Section 21.r of the Agreement is hereby deleted in its entirety and replaced with the <br />following: <br />Access provided to 7031 173' Avenue NW. Lot 7, Block 2, shall be used <br />as a temporary access for the adjacent property at 7031 173rd Avenue NW <br />("7031"). If the property owner of 7031 does not acquire permanent access <br />to 7031 via the undeveloped property to the east, the Permittee may require <br />the property owner of 7031 to purchase Lot 7, Block 2 to secure access. <br />1 <br />
