PROFESSIONAL SERVICES AGREEMENT THIS IS AN AGREEMENT, effective on February 27. 2007, 2007, between the City of Ramsey, Minnesota ("Client") and Bonestroo, Rosene, Anderlik and Associates, Inc., DBA DSU/Bonestroo ("Consultant"), for professional technical services. Client and Consultant agree as follows. PROJECT DESCRIPTION AND UNDERSTANDING The "Project" consists of the 2008 Comprehensive Plan Update for the City of Ramsey, described in detail in Appendix A. It is understood by the Client that the Consultant also represents the Nathes regarding their property in the City of Ramsey, and the City of Dayton reg1;lrding their comprehensive plan. Further details about these relationships are set forth in the potential conflict of interest disclosure set forth in Exhibit E. CONSULTANT'S SERVICES Scope of Basic Services The Consultant will provide Basic Services as outlined in Appendix A. These services will consist of research, mapping, meetings, report preparation and related tasks. Supplemental Services The Consultant will provide Supplemental Services (services authorized by Client and performed by Consultant, which are not included in Basic Services) as described in Appendix A. Consultant will furnish an estimate of the cost for Client-requested Supplemental Services for the Client's written approval prior to commencement of the work. COMPENSATION Payment for Basic Services For the Basic Services outlined in Appendix A, the Client will pay the Consultant as follows: On an hourly basis estimated not to exceed $83,300, which includes include Reimbursable Expenses. Of this amount, $68,400 is for DSU/Bonestroo services and $14,900 for DSU/Bonestroo's sub-contractor, Meyer Mohaddes. Consultant will not provide services nor incur expenses which would cause its charges to exceed this amount without Client authorization. Payment for Supplemental Services For Supplemental Services authorized by the Client and performed by the Consultant, the Client will pay the Consultant on an hourly basis, plus Reimbursable Expenses. As an alternative if agreed to by both parties, the Client will pay the Consultant on a lump sum basis where the amount is negotiated between the two parties. Billina Rate Schedule Consultant's hourly charges will be based on the Billing Rate Schedule attached as Appendix C. PRELIMINARY SCHEDULE Both the Consultant and the Client will put forth reasonable efforts to complete their respective duties in a timely manner, according to the preliminary Project Schedule attached as Appendix D. Because the Consultant's performance must be rendered with due diligence and be governed by sound professional practices, the Consultant is not responsible for delays occasioned by factors beyond its control. STANDARD TERMS AND CONDITIONS The Standard Terms and Conditions attached as Appendix B are incorporated in this Agreement. Public Sector - no design or construction -103- 1
