TERMINATION OF LEASE <br />THIS TERMINATION OF LEASE ("Termination") is entered into by and between the <br />City of Ramsey, ("Landlord"), and Mille Lacs Motor Sports II, Inc., a Minnesota corporation, <br />("Tenant"). <br />RECITALS <br />WHEREAS, Landlord and Tenant entered into that certain Lease dated May 28, 2025, as <br />amended by that certain First Amendment to Lease dated January 22, 2026, and that certain Second <br />Amendment to Lease dated May 26, 2026, and that certain Third Amendment to Lease dated <br />August 31, 2026, (collectively "Lease"); and; <br />WHEREAS, Landlord entered into that certain Purchase Agreement dated effective <br />September 14, 2026 with 6781 Properties, LLC, a Minnesota limited liability company, for the <br />purchase and sale of the Property with a closing date of ("Closing Date"); and <br />WHEREAS, Landlord and Tenant desire to terminate the Lease effective the Closing Date. <br />NOW, THEREFORE, in consideration of the mutual covenants and promises contained <br />in this Termination, the receipt and sufficiency of which is hereby acknowledged, Landlord and <br />Tenant agree as follows: <br />1. The Lease is hereby terminated as of and is no longer of force <br />and effect. <br />2. The parties hereby waive and release any and all claims, actions, causes of action, <br />liabilities, damages, losses, costs and expenses either party may have against the other <br />party arising out of or in any way connected with or related to the Lease. <br />3. This agreement shall be construed in accordance with and governed by the laws of the <br />State of Minnesota. <br />[Signature pages follow.] <br />1 <br />
