<br />. <br /> <br />. <br /> <br />. <br /> <br />SEPARATION AGREEMENT <br /> <br />m This Separation Agreem..ent (hereafter "Agreement") is entered into this /g.,day of <br />~ V'f'M 6-e~ 2006, by and between the City of Ramsey, State of Minnesota, a municipal <br />corporation (hereafter "City"), aria James E. Norman, an individual (hereafter "Employee"). The <br />City and Employee have agreed that Employee's employment will conclude as provided in this <br />Agreement and, in connection with such separation from employment, the City has agreed to <br />provide Employee with certain compensation to which Employee would not be entitled absent <br />his execution of this Agreement. In consideration of the mutual promises contained in this <br />Agreement, Employee and the City agree as follows: <br /> <br />1. Resignation from Employment. Employee resigns his employment with the City <br />effective December 31, 2006 and, except as otherwise provided in this Agreement, all benefits <br />and privileges end as of the close of business on that date. Employee acknowledges that his <br />resignation is irrevocable. <br /> <br />2. Employee's Responsibilities to Date of Resi~ation. Employee agrees to <br />diligently perform all of his duties and responsibilities through December 31, 2006. He further <br />agrees to. work cooperatively with the individual(s) assigned by the City to work with him until <br />hi~..f~.signation in order to effect a smooth transition and transfer of..his _responsibilities. <br />Enlployee further agrees and commits to a positive and non-destructive working relationship <br />with the City through December 31, 2006. <br /> <br />3. City's Responsibilities to Date of Employee's Resignation. The City agrees and <br />~ommits to a positive and non-destructive working relationship with Employee through <br />December 31, 2006. <br /> <br />4. No Recruitment of City EmDlovees. Employee agrees that he will not recruit <br />current City employees to his new employment. <br /> <br />5. Salary and Benefits. Through December 31, 2006, Employee will continue to <br />receive the salary and benefits provided in accordance with the Employment Agreement between <br />him and the City. <br /> <br />6. Severance Pay. Beginning January 1,2007, the City shall pay to Employee the <br />severance pay set forth in his Employment Agreement with the City, which is Employee's then <br />current salary, benefits and deferred compensation for a period of six months or until Employee <br />secures employment in a comparable position, whichever period of time is less. Employee shall <br />also be compensated for all earned sick leave, vacation, holidays, compensatory time, and other <br />accrued benefits as of December 31, 2006. <br /> <br />7. References. The City shall retain and place the reference letter, attached hereto as <br />Exhibit "A," in Employee's personnel file. Any requests for references shall be given a copy of <br />Exhibit "A." <br /> <br />Page 1 of2 <br />
