-218- <br /> <br /> EXHIBIT B <br /> <br />EASEMENT AND AGREEMENT <br /> <br /> THIS INDENTURE is made this ~ day of , 20~, <br />between the CITY OF RAMSEY, a municipal corporation and charter city under the laws of the <br />State of Minnesota, Grantor, and the STATE OF MINNESOTA, a sovereign body, Grantee. <br /> <br /> WHEREAS, Grantor and Grantee have entered into a written Settlement Agreement <br />dated , to resolve certain matters arising from or relating to Grantor's <br />condemnation of Grantee's lands via an action entitled City of Ramsey v. State of Minnesota <br />(Anoka Co. Dist. Ct. File No. C3-01-11424), and the City's construction of public street <br />extensions upon the condemned lands and other adjacent lands owned in fee by the Grantor; and <br /> <br /> WHEREAS, the Settlement Agreement provides that the Grantor and Grantee shall enter <br />into this Easement and Agreement, without monetary compensation being required from <br />Grantee, to fulfill, in part, the terms and conditions of the Settlement Agreement; and <br /> <br /> WHEREAS, Grantor and Grantee have entered into a Right of Entry Agreement, dated <br />March 7, 2002, whereby the parties acknowledged that Grantee owned two utility lines serving <br />the water treatment building at the An0ka/Ramsey Closed Landfill (the "Landfill") which lines <br />were buried beneath, and crossed under, the Grantor's Sunwood Drive street extension; and <br /> <br /> WHEREAS, in the Right of Entry Agreement, Grantor recogrtized that Grantee's sanitary <br />sewer line was in place within the area described below as Parcel A before Grantor owned the <br />80-foot wide Sunwood Drive right-of-way; and <br /> <br /> WHEREAS, in the Right of Entry Agreement, Grantor and Grantee acknowledged that <br />Grantee was in progress of installing a new water discharge line to be buried beneath the <br />Sunwood Drive right-of-way Within the area described below as Parcel B; and <br /> <br /> WHEREAS, in the Right of Entry Agreement, Grantor and Grantee recognized the need <br />for the parties to execute a real property document to accomplish the purposes of the Agreement. <br /> <br /> NOW THEREFORE, IN CONSIDERATION OF the Settlement Agreement entered into <br />by Grantor and Grantee and fulfillment of the intent of the Right of Entry Agreement entered <br />into by them, and other valuable consideration, Grantor does hereby convey and warrant to the <br />Grantee, a perpetual easement over, under, across, upon, and through the following described <br />premises situated in the County of Anoka, Minnesota, to wit: <br /> <br />9 <br /> <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br />I <br />I.I <br />I <br /> <br /> <br />
