c) The location and placement of easements for rights-of-way and public <br /> access for the Project. <br /> <br />d) Review and approval of site and construction plans. <br /> <br />e) Erosion control, drainage, grading, and utilities to be provided. <br /> <br />g) <br /> <br />Reasonable inspections during the construction period. <br /> <br />Responsibility for the costs of the Developer and City improvements. <br /> <br />h) Developer Escrows <br /> <br /> The City and the Developer agree that the Development Agreement or agreements into <br />which they ultimately enter may be assigned, in part, as to specific sites, to secondary developers <br />that agree to assume the Development Agreement(s) terms and conditions. <br /> <br />2) Representations of the Developer. The Developer represents that: <br /> <br />The Developer limited liability company is in good standing in the State of <br />Minnesota. <br /> <br />b) The Developer corporation is in good standing in the State of Minnesota. <br /> <br />c) <br /> <br />The Developer, by itself or through permitted or approved secondary <br />developers, shall construct the developer improvements in accordance <br />with the terms of the development agreement. <br /> <br />d) <br /> <br />e) <br /> <br />The Developer will obtain all required City and other governmental <br />permits, reviews, licenses, actions and approvals, necessary before the <br />Town Center may be constructed. <br /> <br />Subject to and in accordance with the provisions outlined in the <br />Development Agreement, the Developer, by itself or through secondary <br />developers, intends to develop the Town Center on the site identified in <br />Exhibit A attached hereto. <br /> <br />g) <br /> <br />The Developer's acquisition of the site identified in Exhibit A is for the <br />sole purpose of the Town Center and for no other purpose. Developer will <br />have exclusive development control over the 320 acres comprising the <br />Town Center on or before ,2003 <br /> <br />The Developer and its secondary developers will comply with: <br /> <br />Town Center Design Standards <br />Town Center Zoning Districts <br />The City of Ramsey's Master Plan for Town Center <br />Other Applicable City Codes, Regulations and Policies <br /> <br />03-20-03 Draft <br /> <br />2 <br /> <br />-139- <br /> <br /> <br />
