C. This Agreement shall, unless earlier terminated pursuant to the terms of this Agreement, <br />remain in force in perpetuity. <br />D. This Agreement may be terminated at any time for any reason by either Burns or <br />Ramsey, provided the terminating party provides at least two years' written notice to the <br />other party of its intent to terminate. The effective termination date must coincide with <br />the last day of a calendar year. Notice to Ramsey shall be served on the City <br />administrator, or City clerk if there is no City administrator, and notice to Burns shall be <br />served on the Town clerk. <br />E. The obligations of the parties to make payment for services rendered during the term of <br />this Agreement shall survive the termination of this Agreement. <br />F. The existing fire service contract between Burns and Ramsey dated August 1, 2006 shall <br />remain in full force and effect until the commencement date of this Agreement as set out <br />in paragraph 7A above, at which time said August 1, 2006 fire service contract shall <br />terminate. <br />G. Either party may at any time request in writing change or amendment to this contract <br />related to cost sharing or other terms. If mutually agreed upon, such changes may be <br />adopted by execution by officials of both parties of an amendment to this contract. <br />8. DISPOSITION OF PERSONNEL AND ASSETS AFTER TERMINATION <br />A. Within one year prior to the termination or expiration of the term of this Agreement, but <br />no later than 120 days prior to the termination or expiration of the term of this <br />Agreement, Burns may elect, via written notice to Ramsey, to retain the fire and rescue <br />personnel assigned to the Burns fire station for Burns own fire department or any other <br />fire department Burns may enter into a joint powers agreement with. In such event, <br />Ramsey shall calculate the total amount of Ramsey fire relief association money <br />attributable to Burns ( "Burns Fire Relief Funds "), which shall be the sum of: 1) Burns <br />proportion of FSRB proceeds received from the State during the term of this Agreement <br />which were derived from property located in Burns; and 2) the annual fire relief <br />association contributions paid by Burns during the term of this Agreement; and 3) the <br />interest earned on both the Burns portion of the FSRB and Burns' fire relief association <br />contributions described above. Once calculated, Ramsey shall transfer to a Burns fire <br />relief association or the fire relief association of another fire department as directed by <br />Burns and which Burns has entered into a joint powers agreement with, the following <br />amounts: <br />i. The present value of the vested pension benefits for all Ramsey fire fighters <br />who remain with the Burns fire department or a department which Burns has <br />entered into a joint powers agreement with ( "Vested Benefits "); and <br />ii. The Burns Fire Relief Funds multiplied by a ratio consisting of the number of <br />Ramsey fire personnel assigned to the Burns fire station who remain with the <br />Burns fire department or another fire department which Burns has entered into <br />0 <br />-232- <br />
