g. Owner shall contemporaneously herewith execute, acknowledge and deliver to T- Mobile for recording a Memorandum of this Agreement ("Memorandum") in the form of Exhibit "C". h. T -Mobile may not assign this Agreement without Owner's written consent which consent shall not be unreasonably withheld. Any assignment shall not release T- Mobile from any of the obligations arising under this Agreement. 1. Notices shall be in writing and sent by United States Mail, postage prepaid, certified or registered with return receipt requested or by any nationally recognized overnight courier service to the address set forth beneath the signature of each party below. Any such notice shall be deemed given when deposited in the United States Mail or delivered to such courier service. j. This Agreement shall be construed in accordance with the laws of the State of Minnesota. Each party agrees to furnish to the other, Within ten (10) days after request, such truthful estoppels information regarding this Agreement as the other may reasonably request. k. Owner and T-Mobilerepresents for themselves that they have not been represented by a real estate broker or other listing agent in connection with this Agreement in this transaction for purposes of commission, fee or other payment to such broker of any other leasing agent claiming to have represented T-Mobile. 1. . Owner hereby agrees to cooperate with T -Mobile and its authorized representatives regarding any reasonable requests made subsequent to execution of this Agreement to correct any clerical errors contained in this Agreement and to provide any and all additional documentation deemed necessary by T-Mobile to effectuate the transaction contemplated by this Agreement. The Owner further agrees that "to cooperate" as used in this Agreement includes but in not limited to, the agreement by the Owner to execute or re-execute any documents that T - Mobile and Owner reasonably deem necessary or desirable to carry out the intent of this Agreement. m. Owner's approvals required herein shall not be unreasonably withheld (unless otherwise provided herein) or delayed, subject to Owner's obligations as a Minnesota municipal corporation to abide by State Statutes, its Cit Charter and its City Code. . n. If any term of this Agreement is found to be void or invalid, such invalidity shall not affect the remaining terms of the Agreement, which shall continue in full force and effect. o.
