-84— <br />ARTICLE IV <br />Administrative Provisions <br />Section 4.1. Notices. Binding Effect. This Agreement shall inure to the benefit of and shall be <br />binding upon the ACHRA and the City and their respective successors and assigns. <br />Section 4.3. Severability. In the event any provision of this Agreement shall be held <br />invalid or unenforceable by any court of competent jurisdiction, such holding shall not <br />invalidate or render unenforceable any other provision hereof. <br />Section 4.4. Amendments, Changes and Modifications. This Agreement may be <br />amended or any of its terms modified only by written amendment authorized and executed <br />by the City and the ACHRA; provided that no such amendment shall be effective without the <br />consent of any person or entity to whom the rights of the ACHRA to receive payments due <br />hereunder has been assigned. <br />Section 4.5. Further Assurances and Corrective Instruments. The ACHRA and the <br />City agree that they will, if necessary, execute, acknowledge and deliver, or cause to be <br />executed, acknowledged and delivered, such supplements hereto and such further <br />instruments as may reasonably be required for correcting any inadequate or incorrect <br />description of the Project or for carrying out the expressed intention of this Agreement. <br />OPERATING DEFICIT AGREEMENT <br />CITY OF RAMSEY <br />
