On or berore sixty (60) days priar tathe end of each calendar year, and <br />annually thereafter, Manager shall submit to Owner a propased budget on Owner's form .of <br />praposed expendit\JI'es far the following fiscal, year for each praperty showing all items far <br />which expenditure shall be made, including but not limited tc?, such items as l:11;e number and <br />type of employees and their sal~ies. Except as set forth in th~ fallawing sentence, each Property <br />budget shall, in each case, be appraved in writing by Owne~ (an "Appraved Budget") befare the <br />, same shall became effective, and when so appraved, na lease proposal at less than the rate <br />specified in such schedule shall be made by Manager except with the prior written consent of <br />Owner. Notwithstanding the foregoing to the contrary, if Owner fails ta abject or otherwise <br />respond in writing within thirty (30) days after receipt of a praposed budget fram Manager, <br />'such proposed budget shall be deemed to be approved, as Manager requires appraval .of the <br />budget at least thirty' (30) days prior ta the commencement of the next fallowing year in .order ta <br />meet its abligatians hereunder. <br /> <br />2.4. Budge:t Modificatians, Manager shall, at such times as it deems apprapriate .or as <br />Owner requests, submit ta Owner rorits review and appraval propased modifications ta the <br />Annual Budget and the Annual Leasing Plan and comparisans of the Appraved Budget ta " <br />.operatians for the year to date. <br /> <br />2.5. Enfarcement.of Leases. Manager shall, subject ta Owner's priar written consent <br />and in the name .of and at the expense of Owner, institute any and all legal actions .or <br />proceedihgs necessary for the callection .of rent or ather income from the Premises or to remave <br />any unautharized tenant or person fram the Premises. Manage:r shall have the authority, <br />~thaut Owner's prior written appraval except as hereinafter provided, to enforce all leases, <br />including, withaut limitation, the sending .of default natices, pravided that Manager shall obtain <br />the appraval .of Owner prior to instituting any legal actian, and priar ta terminating any lease <br />and repart ta Owner, on a manthly basis, any lease delinquency. Manager shall submit ta <br />Owner promptly upan receipt any notice .of landlard default received fram any tenant. <br /> <br />2.6. iepairl,i, Mainten~ce and Capital Im;2rovements. Manager ,shall use its <br />commercially :reasonable effa:rts to keep each Property in good order and repair, and shall <br />purchase or ar:range for the purchase of all, inventories, provisions, supplies and operating <br />equipment which are reasanably necessary ta maintain and operate each Property. The <br />Approved Budgets shall constitute an autharization far Manager ta expend manies for repairs, <br />maintenance arid capital impravements prajects as provided therein. All repairs, maintenance <br />and capital impravement projects in excess .of the funds allacated therefar in the Appraved <br />Budget shall be contracted by Manager .only after securing Owner's appraval, except (i) with,' <br />regard to emergency maintenance .or repairs which shall be handled in the' cammercially <br />reasonable discreti.on of Manager, (ii) with regard to the provision of essential services to the <br /> <br />-2- <br /> <br />-13-' <br />
