<br />Security: <br /> <br />Landlord will assist in facilitating Leased Space and common area <br />security needs of Tenant. Costs of security improvements to support <br />Tenant's operations, such as cameras, recording equipment, or <br />additional panic alarm systems will be paid by Tenant. Landlord will <br />provide security badges for door access to Tenant's employees as well <br />as access to Landlords current panic alarm system. Landlord will <br />respond to Landlord's current panic alarm system when activated by <br />Tenant consistent with response provided to Landlord's activation of <br />panic alarm system. <br /> <br />Utilities: <br /> <br />Utilities (natural gas, electric, water, sewer) will be paid by Landlord <br />and are reflected in CAM rate. <br /> <br />Tenant's Supplies: <br /> <br />Tenant shall provide all office supplies and equipment for its operation. <br />Tenant may utilize Landlord's mailing equipment and postage at a cost <br />to be billed quarterly by Landlord based upon usage. <br /> <br />Signage: <br /> <br />Any additional signage required for Tenant's operation shall first be <br />approved by Landlord and paid by Tenant. Landlord agrees to allow <br />for illuminated signage on Municipal Parking Facility or Highway 10 <br />marquis, directional signage on Sunwood Drive, and way finding <br />signage within Municipal Center building. <br /> <br />Property Taxes: <br /> <br />Tenant will provide written documentation from Anoka County that <br />there will be no property tax liability created by this lease of tax- <br />exempt City property to a tax-exempt Anoka County agency. <br /> <br />Non-Compete: <br /> <br />Landlord agrees to a "no-compete" clause in contract for services <br />currently provided by the Anoka County License Center and for the <br />provision of passport services in the future. Landlord agrees to <br />consider future lease space for passport office near the Leased Space. <br /> <br />Insurance: <br /> <br />Tenant will provide general public liability insurance (County is self <br />insured) in amounts required by the Landlord, list Landlord as an <br />additional insured, and hold Landlord harmless against all claims. <br />Landlord and Tenant's legal counsel agree to negotiate specific terms <br />of general public liability insurance and indemnity provisions. <br /> <br />Alteration, Tenant shall not make any alteration, additions, or improvements in or <br />Installation, Fixtures: to the Leased Space or add, disturb or in any way change any plumbing <br />or wiring therein without the prior written consent of Landlord. <br /> <br />Non-Binding: <br /> <br />This letter of Intent is aNON-Binding letter of intent and is intended to <br />form the basis for the parties to enter into a formal, detailed legally <br />binding Lease for the Leased Space. <br /> <br />3 <br />
