Completion of Punchlist and/or Maintenance <br /> <br />City hereby accepts all of the improvements in BFl,BF2 andBF3 in their "as-is, where-is" <br />condition, and acknowledges that neither Oakwood or 21 st has any obligation to complete any <br />punchlist or repair items. 21 st and Oakwood covenant to give City and its agents all needed <br />reasonable access to the properties in BFl, BF2 and BF3 to perform any needed repair or <br />maintenance work. <br /> <br />7. Assie:nment of WSCA <br /> <br />It is acknowledged that the parties have signed a revised and restated CA, d <br />herewith, and that the restated WSCA shall control that aspect of the transaction. <br /> <br />Oakwood and 21 st will promptly work toward restructuring a ecting certain aspects of the <br />HA, including the restating of certain declarations and establis f bylaws that will make <br />members of the HA dues-paying members of the HA, establish a ans of collecting dues, and <br />provide for the maintenance of and payme lectrical power serving irrigation systems for <br />median landscaping and berming along CSA rovide for maintenance of a pond- <br />filling pump and payment for electrical pow nd-filling pump now located within <br />BF2. This obligation shall extend only to the y to make good-faith efforts to restate certain <br />declarations and bylaws, and shall not be cont as a guarantee that all lots in the plats of <br />BFl BF2 and BF3 can b be dues-payi g members of the HA, nor shall this obligation <br />be construed as any ance by Oakwood or 21 st that once re-structured, the HA <br />members will perform tn <br /> <br />t the issuance of future building permits for platted lots in BF 1, BF2 and <br />on any future performance by either Oakwood or 21 st, and that all public <br />plats have now been accepted as the responsibility of City. In addition, <br />at the outlots remaining in the plats ofBFl, BF2 and BF3 that are intended <br />for further re ing have been created in reliance on previous City approvals of the foregoing <br />plats, and that the City will not attempt to impose conditions not imposed on any other land <br />developer similarly situated if and when these outlots are developed. <br /> <br /> <br />3 <br />
