Councilmember introduced the following resolution and moved <br />for its adoption: <br />RESOLUTION #10 -03- <br />A RESOLUTION RATIFYING A CONTRACT WITH AN INTERESTED <br />COUNCILMEMBER UNDER MINN. STAT. §471.88, subd. 5 and §471.89, subd. <br />2 <br />WHEREAS, the City of Ramsey (the "City') has entered into a contract for the following <br />services: <br />Legal services for prosecution and civil services pursuant to the attached Agreement <br />for General Legal Services effective July 1, 2009 with Randall and Goodrich, P.L.C. <br />(the "Contract "); and <br />WHEREAS, the City duly advertised for potential contractors /attorneys to respond to the <br />RFP as a prerequisite to the Contract; and <br />WHEREAS, eight (8) responses to the RFP were received by .the City. Each of the <br />responses was reviewed by the City Council at public meetings in May and June, 2009, and which <br />eight (8) responses are on file in the City offices and are public data; and <br />WHEREAS, Randall and Goodrich, P.L.C. was selected by the City Council as a responsible <br />qualified contractor /legal firm capable of performing the Contract (the "Contractor "); and <br />WHEREAS, City Council member John Dehen, a duly qualified attorney, has a desire to <br />work as an independent contractor for Contractor performing City prosecution duties as assigned by <br />Contractor and is a public officer as defined by Minn. Stat. §471.87; and <br />WHEREAS, Contractor has agreed, subject to approval of this resolution, to enter into an <br />independent contractor agreement with Mr. Dehen to perform certain of Contractor's duties related <br />to it's criminal prosecution responsibilities under the Contract; and <br />WHEREAS, by virtue of his status with Contractor John Dehen will be financially interested <br />in the Contract; and <br />WHEREAS, it is determined that the Contract for the City's legal services including <br />prosecution services is as low, or lower than the price at which the services could be obtained <br />elsewhere as of July 1, 2009; and <br />WHEREAS, the Contract is not one that is required to be competitively bid. <br />NOW, THEREFORE, BE IT RESOLVED by the City of Ramsey, Minnesota as follows: <br />That the Contract is ratified. <br />
