agencies, substantial delays outside of the Engineer's control or changed conditions occur, it is agreed that these addi- tional services will be provided at the standard rates shown in Exhibit B. Said rates shall be fixed through February 28th, 1988 at which time they may be adjusted reflecting changes in direct personnel expense and overhead factors. The Engineer shall outline the change in work scope or additional service for approval by the Sponsor, Mn/DOT and FAA prior to initiating the work. IV. ABANDONMENT, CHANGE OF PLAN AND TERMINATION Either party has the right to terminate this Agreement upon seven days written notice. In addition, the OWNER may at any time, reduce the scope of this Agreement. Such reduction in scopes shall be set forth in a written notice from the OWNER to CONSULTANT. In the event of unresolved dispute over change in scope or changed conditions, this Agreement may also be terminated, upon seven days written notice as provided above. In the event of termination, all documents, finished or unfinished, prepared by CONSULTANT under this Agreement shall be made available by CONSULTANT to the OWNER, and there shall be no further obligation of the OWNER to CONSULTANT under this Agreement, except for payment of amounts due and owing for work performed and expenses incurred to the date and time of termination, computed in accordance with Article 3. In the event of a reduction in scope of the Project work, CONSULTANT shall be paid for the work performed and expenses incurred on the projected work thus reduced and for any completed and abandoned work for which payment has not been made, computed in accordance with Article 3. Upon receipt of such notice, the Engineer shall: (1) immediately discontinue all services affected (unless the notice directs otherwise), (2) deliver to the Sponsor all data, drawings, specifications, report, estimates, summaries and such other information and materials as may have accumulated by the Engineer in performing this Agreement whether completed or in process. V. SPECIAL CONDITIONS 1. It is further mutually agreed by the Parties hereto that reproducible copies of the drawings, tracings, construction plans, specifications and maps prepared or obtained under the terms of the contract shall be delivered to and become the property of the Sponsor and basic survey notes and sketches, charts, computations and other data shall be made available upon request to the Sponsor. 4
