<br /> DEVELOPMENT AGREEMENT
<br />CITY OF RAMSEY, ANOKA COUNTY, MINNESOTA

<br /> THIS AGREEMENT, made and entered into by and between the CITY OF RAMSEY,
<br />a municipal corporation under the laws of the State of Minnesota (the "CITY"), and
<br />OAIxqVOOD LAND DEVELOPMENT, INC. whose address is 1611 County Highway 10,
<br />Spring Lake Park, IVIN 55432 (the "DEVELOPER").

<br />WlTNESSETH:

<br /> WHEREAS, the DEVELOPER is the fee owner of the following described property
<br />situated in the CITY OF RAMSEY, County of Anoka, State of Minnesota, and legally
<br />described as follows:
<br />
<br />Lots 1, 2, and 3, Block 1, Wildlife Sanctuary Addition.
<br />
<br />- or upon recording -
<br />
<br />Lots'l, 2, 3, 4, 5, 6, and 7 Block 1; Lots 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, and 14
<br />Block 2; Lots 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, I4, t5, 16, 17, 18, 19, 20, 21, 22, 23,
<br />24, 25, 26, 27, 28, 29, 30, 31 32, 33, and 34 Block 3; Outlots A and B, WILDLIFE
<br />SANCTUARY 2N~ ADDITION, Anoka County, Minnesota.

<br />(the "Subject Property"); and
<br />
<br /> WHEREAS, on July 23, 2002, pursuant to Resolution No. 02-07- ., the CITY
<br />approved the final plat of the Subject Property, which plat is known as WILDLIFE
<br />SANCTUARY 2ND ADDITION (the "Plat"), which approval is contingent on certain
<br />requirements, including the DEVELOPER and the CITY entering into this Agreement; and
<br />
<br /> WHEREAS, the final plat for the Subject Property conforms to the preliminary plat for
<br />Wildlife Sanctuary. 2"a Addition and Wildlife Sanctuary 3ra Addition approved by the CITY on
<br />May 28, 2002; and
