AGKEEMENT BETWEEN THE DEVELOPEltS <br /> STORM SEWER TRUNK <br /> <br />THIS AGREEMENT is made effective as of the 4th day of June, 2002, by and between Edina <br />Development Corp., Inc., 700 Industry Avenue, Anoka, MN 55303, Oakwood Land Development, <br />Inc., 1611 Highway 10, NB, Spring Lake Park, MN 55432, and Total Freedom Corporation of' <br />Ramsey, 15596 St. Francis Boulevard, Ramsey, lVfN 55303, hereinafter referred to as the <br />Developers. <br /> <br />The Developers agree to enter into a Contract with John Oliver & Associates, Inc., for ~e design and <br />construction related services associated with construction of a storm sewer trunk in the City of <br />Ramsey, Minnesota. The Developers also agree to enter into a second Contract with an unnamed <br />Utilit7 Contractor who will consnmct the storm sewer trunk and who will be selected through a <br />bidding process. <br /> <br />Costs for the storm sewer trunk projec~ design and construction will be shared between <br /> <br />Developers b~ed on the following schedule: <br /> <br />Edina Development Corp. Inc. <br />Oakwood Land Development, Inc. <br />Total Freedom Corporation of Ramscy <br /> <br />37.8% <br /> <br />Each Developer will be responsible for paying their share of the design and construction costs <br />direcdy to John Oliver & Associates, Inc. <br /> <br />Edina Development Corp. will take a lead role in managing the project and John Oliver & <br />Associates, Inc. wilt provide an Owner's Representative at critical times, such as the preco.rmtmction <br />meeting, or as needed in order for the project to proceed. Contract Amendments must be approved <br />by all three Developers. <br /> <br />Oakwood Land-Development, Inc. and Total Freedom Corp. of Ramsey will reimburse Edina <br />Development Corp., Inc.
