MENT is made effective as of the 4th day of June, 2002, by and between Edina Development Corp., Inc., 700 Industry Avenue, Anoka, MN 55303, Oakwood Land DeveloPment, Inc., 1611 Highway 10, NE, Spring Lake Park, MN 55432, and Total Freedom Corporation of Ramsey, 15596 St. Francis Boulevard, Ramsey, MN 55303, hereinafter referred to as the Developers. The Developers agree to enter into a Contract with Passe Engineehng, Inc., for the design and construction related serv/ces associated with construction of a sanitary sewer life station and forcemain in the City of Ramsey, Minnesota, The Developers also agree to cost share in the construction of the sanitary sewer lift station and forcemain. Costs for the sanitary sewer lift station and forcemain project design and stakLug will be shared between the Developers based on the following schedule: 37.1t% Edina Development Corp., Inc. Oakwood Land Development, Inc. Total Freedom Corporation of Ramsey Each Developer will be responsible for paying their share of the des/gn and staking costs directly to Passe Engineering, Inc. processing agents for payments. Oakwood Land Development, Inc. will take the lead role in managing thc project and Passe Engineering, Inc. will provide an Owner's Representative at critical times, such a~ the preconstmction meeting, or as needed in order for the project to proceed. Contract Amendments mu. st be approved by all three Developers.
