I <br /> I <br /> I <br /> I <br /> <br /> I <br /> I <br /> I <br /> I <br /> ! <br /> I <br /> I <br /> I <br />I <br /> I <br /> I <br /> I <br /> <br />XI. <br /> <br />XII. <br /> <br />XIII. <br /> <br />XIV. <br /> <br />XV. <br /> <br />AMENDMENTS: Any amendments or modifications to this Contract shall be in writing and shall not be effective until <br />executed by the parties to this Contract and approved by all STATE officials as required by law. <br /> <br />LIABILITY: The GOVERNMENTAL UNIT shall indemnify, save and hold the STATE, its representatives and <br />employees, harmless from any and all claims or causes of action, including all attorneys' fees incurred by the STATE, arising <br />from the performance of this Contract by GOVERNMENTAL UNIT or GOVERNMENTAL UNIT's employees, agents, or <br />subcontractors. This clause shall not be construed to bar any legal remedies the GOVERNMENTAL UNIT may have for the <br />STATE's failure to fulfill its obligations pursuant to this Contract. The GOVERNMENTAL UNIT's liability shall be <br />governed by the provisions of the Municipal Tort Claims Act, Minnesota Statutes, Section 466.01 - 466.15 and other <br />applicable law. <br /> <br />STATE AUDITS: The books, records, documents and accounting procedures and practices of the GOVERNMENTAL <br />UNIT and its employees, agents or subcontractors relevant to this Contract shall be made available and subject to <br />examination by the STATE, incl,ding the contracting Agency/Division, Legislative Auditor, and State Auditor for a <br />minimum of six years from ~.e end date of this Contract. <br /> <br />WORKERS' COMPENSA?;©N: (When applicable.) In accordance wi:h the provisions of Minn. Stat. § 176.182, as <br />amended, the GOVERNMEVTAL UNIT shall provide acceptable evidence of compliance with the workers' compe:.'::;a.'.~'on <br />insurance coverage req':'.'emznt of Minn. Stat. § 176.181, Subd. 2, as a::ndcd, prior to the commencement of any d'._ <br />to be performed under thi' <br /> <br />PROMPT PAYMENT TO ~ mC©NTRACTORS: (When applicable.) ,5OVEi-LNIvlENTAL UNIT is required to i: Y <br />subcontractors pursuant to M~ ~.
