II. CONSIDERATION AND TERMS OF PAYMENT:

<br />CONSIDERATION: Consideration for all services performed by the GOVERNMENTAL UNIT pursuant to this
<br />Contract shah be paid by the STATE as follows:
<br />
<br />I. COMPENSATION: Compensation and reimbursement shall not to exceed Six Hundred Fifty-two dollars
<br /> ($652.00).
<br />
<br />2. GOVERNMENTAL UNIT will expend Contract funds allocated for this program according to the
<br />GOVERNMENTAL UNIT'S application for this th'e deflators reimbursement program, which has been approved
<br />by the STATE and is on file with the STATE and located at 444 Cedar Street, Suite i00 Town Square, Suite i00
<br />Town Square, St. Paul, Minnesota..
<br />
<br />3. MATCHING REQUIREMENTS: GOVERNIviENTAL UNIT certifies that the follcwing matching requirement
<br />for this Contract will be met by GOVERNMENTAL. UNIT. $652.00 from non-state funding sources.
<br />

<br />performed to the satisihc~:^~ of the STATE, as determined : thc sole discretion of the STATE's Authorized Representative,
<br />and in accordance with aJ! ~.pplicable federal, state, and loc~! laws, ordinances, roles and regulati'~ns. The
<br />GOVERNMENTAL U~(;2T shali not receive payment for work found by the STATE to be un3adsfactory, or performed in
<br />violation of federal, state or local law, ordinance, role or regulation.
<br />
<br />TERMS OF CONTRACT: This Contract shall be effective on January 1,200.~ or upon the date that the f'mal required
<br />signature is obtained by d_e STATE, pursuant to Minn. Stat. § 16C.05, Subd. 2, whichever occurs later, and shall remain
<br />in effect until December 3 I, 2000, or until all obligations set forth in this Contract have been satisfactorily fulfilled or the
<br />Contract has been canceled, whichever occurs first. THE GOVERNMENTAL UNIT UNDERSTANDS THAT NO
<br />WORK SHOULD BEGIN UNDER THIS CONTRACT UNTIL ALL REQUIRED SIGNATURES HAVE BEEN
<br />OBTAINED, AND THE GOVERNMENTAL UNIT IS NOTIFIED TO BEGIN WORK BY THE STATE'S
<br />AUTHORIZED REPRESENTATIVE.
<br />
<br />CANCELLATION: This Contract may be canceled by the STATE or Commissioner of Administration at any time, with or
<br />without cause, upon thirty (30) days written notice to the GOVERNMENTAL UNIT. In the event of such a cancellation, the
<br />GOVERNMENTAL UNIT shall be entitled to payment, determined on a pro rata basis, for work or services satisfactorily
<br />performed.
<br />
<br />STATE's AUTHORIZED REPRESENTATIVE: The STATE's Authorized Representative for the purposes of administration
<br />of this Contract is Jeri Boisvert, Planning Director or her successor in office. The STATE's Authorized Representative
<br />shall have final authority for acceptance of GOVERNMENTAL UNITs services and if such services are accepted as
<br />satisfactory, shall so certify on each invoice submitted pursuant to Clause II, paragraph B.
<br />
<br />ASSIGNMENT: The GOVERNMENTAL UNIT shall not assign, delegate, or transfer any fights or obligations under this
<br />Contract without the prior written consent of the STATE.
