PERFORMANCE OF SERVICES. The Consultant shall determine the manner in <br />which the Services are to be performed and the specific hours to be worked by <br />the Consultant. The City will rely on the Consultant to work as many hours as <br />may be reasonably necessary to fulfill the Consultant's obligations under this <br />Agreement. <br /> <br />REPORTING. The Consultant will provide a monthly report to the city staff on <br />activities undertaken by the Consultant. <br /> <br />PAYMENT. The City will pay a monthly fee to the Consultant for services <br />rendered in the amount of $2,000.00 per month. Consultant time in excess of 20 <br />hours per month will be billed at the rate of $100 per hour. This fee shall be <br />payable monthly, no later than the fifteenth day of the month. Travel and other <br />out of pocket expenses shall be payable following the month in which they are <br />accrued. Travel will be billed at the generally accepted mileage rate of $0.325 <br />per mile. <br /> <br />TERM/TERMINATION. The term..of this Agreement shall be from March 15, <br />2000 until December 31,2000, unless extended in writing by both parties. <br /> <br />RELATIONSHIP OF PARTIES. The parties understand that the Consultant is an <br />independent contractor with respect to the City, and not an employee of the City. <br />The City will not provide fringe benefits, including health insurance benefits, paid <br />vacation, or any other employee benefit, for the benefit of the Consultant. <br /> <br />DISCLOSURE. The Consultant is required to disclose any outside activities or <br />interests that conflict or may conflict with the best interests of City. Prompt <br />disclosure is required under this paragraph if the activity or interest is related, <br />directly or indirectly to any activity that the Consultant may be involved with on <br />behalf of the City. <br /> <br />EMPLOYEES. The provisions of this Agreement shall also bind the Consultant's <br />employees who perform services for the City under this Agreement. <br /> <br />CONFIDENTIALITY. The City may from time to time share confidential <br />information with the Consultant. The Consultant will be notified by the City in <br />writing identifying which information is considered confidential. In consideration <br />for the disclosure of the confidential information, the Consultant agrees that it will <br />not at any time or in any manner, either directly or indirectly, use any confidential <br />information for its own benefit, or divulge, disclose, or communicate in any <br />manner any confidential information to any third party without the prior written <br />consent of City and will protect the Information and treat it as strictly confidential. <br />A violation of this paragraph shall be a material violation of this Agreement. <br /> <br />Page 2 of 4 <br /> <br /> <br />
