CHANGE IN PRO/I~CT SCOPE In the event tho CLIENT changes or is required to change the scope of the project from that described in Section I and/or the applicable exhibits and addendum.s, and such changes require Additional Services by the CONSULTANT, the COlq'SULTA/qT shall be entitled to additional compensation at the applicable hourly rates. The CONSULTANT shall give notice 'co the CLIB'NT of any Additional Services, prior to furnishing stroh additional services. The CLIENT may request an estimate of additional cost from the CONSULTANT, and the CONSULTANT shall fitmish such, prior.to authorizing the changed scope of work. B. RESPONSIBILITY AND LI1V~TATION OF LIABILrrY The CONSULTANT agrees to provide all work in a prudent and professional m. am~. The CLIENT acknowledges that portions of the project may be performed or other~tisc ooni~olled by the CLIENT, regulatory ag~cies, contractors or other pc'rsonnel over which the CONSULTAHT does not have direct employment relationship. The CLILrNT agrees to hold the CONSULTANT harmless from claims, including the defense thereof, arising from the actions of persons other than the CONSULTANTS employees. C. INSURANCE CONSULTANT shall mainta~ statutory worker's compensation covovage. CONSLTLTAlqT shall also maintain a professional l~ability inmu'a~¢e port,T, insuring CONSULT~ agah~t damages for legal Hab~ty m'ising o~ of the performam¢¢ ofprof~ss':onal services hereunder, if such legal Habflity is ~used by an error, omission or negligent act of the insu~d or any pe~on or orgardzation for whom fl~e insu~ is legally liable. CONSULTANT shall also maintain general liability insurance insuring CONSULTANT against claims for bodily injury, death and property damage arising out of CONSULTANT'S g~neral business activities (including automobile use). Said pOlicy shall provide coverage for each occurrence in the minimum amount of $1,000,000. CLIENT shall be named as an additional insured on such policy. Such insurance shall not bo canceled until 30 days afar CLIENT has received written notice of the insurer's intention to cancel this All required insurance policies shall be provided at CONSULTANT'S expense. Before comm.encing its services, CONSULTANT shall provide O.!mqT with certificates of insurance, in form acceptable to CLIENT, evidencing the required coverages as provided hereim D. REUSE OF DOCUMENTS All documents including Drawings and Specifications prepared or furnished by CONSULTANT pursuant to this Agreement are instruments of service in respect of the. Project and CONSULTANT shall retain an ownership and property interest therein whether or not the Project is completed. The CONSULTANT shall be deemed the author ofthese docum c'nts and shall retain all common law, statutory and other reserved rigb.ts including the copyright.
