CLIMB Theatre Performance Company page I of 2 CONTRACT NO. 7017 THIS AGREEMENT is made and entered into as of: 06/24/99 by and between CLIMB Theatre (hereinafter "CLIMB") and Ramsay (City Of) (hereinafter "Host Organization"). THE PURPOSE OF THIS AGREEMENT is to set out the terms and conditions whereby CLIMB will provide dramatic and educational programming for the Host Organization at the times and locations set forth in this" Agreement. The terms and conditions of the Agreement are as follows: Date Program Information Charge 01/10/00 9:30 Trashl for 4th graders at Ramsey Elementary School 800.00 **Program Support Funds -350.00 TOTAL NET 450.00 *Program Support Funds consist of income earned through CLIMB's charitable gaming activities and contributions from businesses, banks, coporations, foundations, and individuals. 2. Ownership Rights. The programming governed by this Agreement is the exclusive 3. of Performance property of CLIMB or represent property duly liscenced to CLIMB. Host Organization agrees that Jt shall not reproduce the programming in any fashion or appropriate the content of the programming, or any portion thereof, to its own use: Further, the Host Orgaization shall not photograph, film videotape or otherwise record or preserve the program(s), or any portions thereof, without written permission from CLIMB. This does not preclude photographs for yearbooks or other in-school use of photographs or coverage by local press, which is encouraged. Please notify CLIMB of any media coverage you intend to pursue. CLIMB shall retain all rights to the program(s), including the exclusive rights to record, photograph, broadcast film or publicize the program(s). Host organization shall not therefore, photograph, broadcast, film, or publicize CLIMB's program(s) except as may be agreed upon by the parties in writing. 4. Cancellation. In the event that program(s) is (are) cancelled at the instigation of the Host Organization and are not due to a Force Majeure .event, wilh less than four weeks notice, said Organization will be assessed a $100.00 cancellation fee. 5. Force Majeure. As the program(s) governed by this Agreement may be subject to interruption by sickness, inclement weather, accident, act of God or legitimate unforseeable circumstance, it is agreed that neither party shall be entitled to damages from the other in the event the program(s) are interrupted or cancelled by such circumstances.
