GENERAL TERMS AND CONDITIONS <br /> <br />1, LEASE OF LEASED PREMISES. Lessor agrees to lease the Leased Premises to <br />Lessee as described on page one of this Agreement. <br /> <br />2. USE OF LEASED PREMISES. The Leased Premises are to be used for the <br />installation, operation and maintenance of paging equipment, including base stations, <br />antenna poles or masts, cabling or wiring, and accessories used therewith. Lessee and <br />its subtenants and lessees shall have the unrestricted right to enter or leave the Leased <br />Premises at all reasonable times. Lessee may not sublet or lease to others to use the <br />Leased Premises and may make minor alterations to it without Lessor's consent. <br />Lessee reserves the right to choose the company(les) that will install and/or maintain its <br />equipment with Lessors approval. All equipment or other property attached to or <br />otherwise brought onto the Leased Premises shall at all times be personal property. <br /> <br />3. TERM. The term of this lease is indicated on page one of this Agreement unless <br />otherwise indicated in the Specific Terms and Conditions. Lessee shall have the option <br />to renew this lease for a like period under the same terms and conditions contained in <br />this lease by mailing written notice to Lessor at least sixty (60) days before the <br />expiration of the term indicated on page one of this Agreement. if the site becomes <br />unfit or undesirable for use for Lessee's purposes, Lessee may terminate this lease by <br />mailing written notice to Lessor, which shall be effective ninety (90) days after it is <br />mailed by Lessee. If Lessee holds over at the end of the term, it shall create a month to <br />month tenancy subject to the provisions of this lease. If the Lessee is unsatisfied with <br />the site for reasons of radio frequency coverage or other technological complications, <br />Lessee may terminate this Agreement; provided, however (i) Lessee has provided the <br />Lessor with at least (90) days prior written notice of such termination;(ii) Lessee is not in <br />default; and (iii) the Lessee shall remove any and all of its equipment and shall have <br />paid any rent or other fees due Lessor through the termination date. <br /> <br />4. RENT. Each month during the term of this lease and while Lessor is not in default <br />hereunder Lessee will pay to Lessor in advance the monthly rental indicated on page <br />one of this Agreement. <br /> <br />5. LIABILITY. Lessee will carry during the term of this lease the following insurance <br />with the customary coverage and exclusions: <br /> <br />Bodily Injury - $500,000.00 for injury to any one person, <br />and $500,000.00 for all injuries sustained by more than one <br />person in any one occurrence. <br /> <br />Property Damage - $1,000,000.00 for damage as a result of <br />any one accident. <br /> <br />PageMart Wireless, Inc.
