Closing. <br /> <br /> 8.1 The closing shall take place at Harstad Companies, 2191 Silver Lake Road, New <br />Brighton, MN, 55112, fifteen days after the City of Ramsey has granted final plat approval to <br />Buyer for the Development, or at such other time and place that may be agreed to by the parties <br />in writing ("Closing Date"). <br /> <br /> 8.2 On the Closing Date, Buyer shall deliver to Seller the balance of the Purchase <br />Price and Seller shall deliver to Buyer possession of the Property and shall execute and/or <br />deliver to Buyer; <br /> <br /> (a) A duly executed general warranty deed conveying marketable title to the Property <br />to Buyer subject only to: (i) building and zoning laws, ordinances, state and federal regulations; <br />and (ii) utility and drainage easements which do not interfere with Buyer's intended use of the <br />Property. <br /> <br />(b) A duly executed affidavit of Seller. <br /> <br />(c) A well disclosure certificate. <br /> <br /> 8.3 Seller shall pay at closing alt recording fees and charges relating to the filing of <br />any instrument required to make title marketable. <br /> <br /> 8.4 Bu,'er shall pay at closing: (a) state deed tax relating to transfer of the Property; <br />(b) conservation fee; (c) recording fees relating to the filing of the deed from Seller; (d) title <br />insurance premiums, if any, and title company closing fee, ifa.ny. <br /> <br />9. Possession. Seller shall deliver possession of the Property no later than ~ p.m. on <br />the Date of Closing. All interest, fuel oil, liquid petroleum gas and all charges to city water, city <br />sewer, electricity and natural gas shall be prorated between the parties as of the Date of Closing. <br />Seller agrees to arrange for a final reading for all utilities as of the Date of Closing. Seller's <br />agreement to pay utility charges incurred prior to the Date of Closing shall survive the delivery <br />of the deed at closing. <br /> <br />10. Damages to Real Property. If the Property is substantially damaged prior to closing, <br />Buyer may at its sole option rescind this Agreement by not/ce lo Seller within ten (10) days after <br />Seller notifies Buyer of the damage, during which ten day period Buyer may inspect the real <br />property. In the event of rescission, the Earnest Money shall be refunded to Buyer. <br /> <br />I t. Personal Property Not Included. There is no personal property included in this sale. <br />Seller shall remove all personal property, including without limitation appliances and furniture, <br />from the Property prior to closing.
