Covenants, Representations and Warranties of Seller. <br /> <br /> 12.1 <br />Agreement. <br /> <br />Seller shall take no actions to encumber title to the Property after the date of this <br /> <br /> 12.2 Seller warrants that it has not used the Property for the storage of hazardous <br />substances or petroleum products, and as of the date of the execution of this Agreement, is not <br />aware of any facts the existence of which would constitute a violation of any local, state or <br />federal environmental law, regulation or review procedure or which would give any person a <br />valid claim under MERLA or CERCLA. Tho foregoing is applJ, eable only to Seller's actual <br />knowledge of facts, and Seller represents that Seller has made no independent investigation of <br />the Property. Buyer may enter onto the Property at any time prior to the Closing Date to make <br />such environmental testing as Buyer deems necessary or advisable. <br /> <br /> 12.3 Seller warrants that there has been no labor or material furnished to the Property <br />for which payment has not been made. <br /> <br /> 12.4 Seller warrants that there are no present violations ofm~y restriction relating to the <br />use or improvement of the Property. <br /> <br /> 12.5 Seller will provide for extension of water and sewer to the property by 7/1/97, at <br />Seller's expense. <br /> <br /> 12.6 The warranties made in this Section 12 shall survive until one (1) year after the <br />date of dosing and delivery of the deed. <br /> <br />13. Covenants, Representations and Warranties of the Buyer. <br /> <br /> Buyer is general partnership under the laws of the State of Minnesota and has the power <br />to enter into this Agreement and carry out its obligations hereunder. The signatories to this <br />Agreement represent that they are authorized to execute this Agreement on behalf of the Buyer. <br /> <br />14. Well Disclosure. Buyer acknowledges receipt of a well disclosure statement from Seller, <br />attached as Exhibit A to this Agreement. <br /> <br />15. Broker Commissions. Seller and Buyer each warrant that they have not engaged the <br />services of any realtor, broker or any other person. <br /> <br />16. Miscellaneous. <br /> <br /> 16.1 This Agreement represents the complete and final Agreement of the parties and <br />supersedes any prior oral or written understanding. This Agreement may be amended only by <br />writing executed by both parties. This Agreement shall be binding on the parties hereto, their <br />successors and assigns. <br /> <br /> <br />
