Vose also reminded Commission members that ultimately all Member <br />Cities will have to act on this resolution. <br /> <br />Terry O'Connell introduced Bob Ryan to the Commission. Mr. Ryan is <br />from Continental CableVision's Chicago Regional Office. O'Connell <br />welcomed Mr. Ryan. <br /> <br />O'Connell then stated that he had two question to ask. <br /> <br />Are you now saying that the Cable Commission and its member cities <br />have received a corporate guarantee from Continental guaranteeing <br />the existing Franchises? Second, when the Commission approves the <br />resolutions or the draft resolution, is it just the resolution that get <br />forwarded or does the corporate guarantee, which is signed and dated, <br />get forwarded with it to each member city? <br /> <br />Vose responded by stating that purchasing parties have agreed to the <br />concept of a corporate guarantee. Continental has agreed they will <br />guarantee all of the obligation under the franchise. The attorney's are <br />continuing to work out the language of the guarantee. The details of <br />the guarantee are agreed to. Continental is going to guarantee every <br />obligation under the existing franchise and they are going to guarantee <br />the terms of the renewals, to such a time as they go ahead and divest <br />these franchises. Both purchasing entities are giving a complete <br />guarantee for the time frame that U.S. West and Continental own <br />these franchises. <br /> <br />Vose informed O'Connell that the corporate guarantee will be attached <br />and forwarded with the resolutions. <br /> <br />Motion was made by Nagei, seconded by Ken Peterson TO <br />RECOMMEND APPROVAL OF THE PROPOSED RESOLUTION <br />PROVIDED WITH ALL THE CONTINGENCIES AND WAIVERS BE <br />INCLUDED ON THAT RESOLUTION. <br /> <br />A rote call was taken for the. approval of the Resolution between <br />Meredith Cable and Continental Cable Vision. Commissioners <br />presents were: Ken Peterson, Ramsey; Vicki Volk, Andover; Gerald <br />Cotten, Anoka; Don Jacobson, Andover; JoAnne Brown, Champlin <br />and Mark Nagel, Anoka. <br /> <br />6 ayes - 0 nays.
