<br /> THe CitF of Ramsey, ("Grantor"), for and in oonsideration
<br />of TEN iDOLLARS ($10.00] and other good and valuable
<br />consideration, the receipt whereof is hereby acknowledged, does
<br />hereby 9r~nt unto National Golf Operatin~ Partner~hip, L.P., a
<br />Delaware l~mited partnership, whose adaress is 1448 15th Street,
<br />Suite 200,I Santa M~nica, California, 90404, its sucaessor~ and
<br />assigns ~rever I"Grante~"), a nonexclu~iue permanent easement
<br />across th~ property as described in ~xhibit "A" (hereinafter
<br />referred ~o as "Easement"), to con, treat, reconstruct, and
<br />~er9etuall~ maintain golf cart paths (the "Facilities") in, on,
<br />over, through, and across =he real es=a~e situated in A~oka,
<br />County, Minnesota, more particularly described on Rxhibit "A".

<br /> This Zasement shall be governed by the following:
<br />
<br /> 1.

<br />.antee's Privile.~es and ob!i~ations. Grantee ~hall
<br />right ~o ~u~, ~rim, or remove any =rmms, overhanging
<br />other obstructions which may endanger the ~afety of
<br />with the construction, reconstruction, operation,
<br />repair, replacement, or removal of said Facilities,
<br />
<br />(ii) the igbt to pile dirt an~ materials and to operate
<br />equipment .~n the surface of the land, within said Easement tract,
<br />during p~riods o~ construction, reconstruction, operation,
<br />maintenance, repair, replacement, or removal of said Facilities,
<br />and (iii)'the right of ingress and e~ress onto ~ai~ Easement ..
<br />tract ~or'~the purpose of exercisin~ the rights herein granted.
<br />~rantee a~d/or all persons under con~ract with ~rantee shal!
<br />exercise a~l necessary precautions to prevent injury as a r=sult
<br />of any iconstruction, maintenance, and/or repair of the
<br />Pacilities~ Grantee ~hal! hold Grantor harmless ~rom any injury
<br />or ~laimI which may ari~s fro~ Grantee's construction,
<br />reconstruction, maintenance, or operation o~ the Facilities.
<br />
<br /> 2. G~aDtor's Richt~. ~rantor shall have the right to use
<br />the land ~thin sai~d--~asemen= tract for any purpose con~!sten%
<br />with the r~ghts herein con~eyed ~o Gran~ee.
<br />
<br />3. Relocation and Abandonment. The Facilities ~hall not be
<br />relocated~ro~h~ present location without prior written consent
<br />of Grantor~ which consent shall not be unreasonably withheld. In
<br />the event ~ha~ Grantee relocates cr aban~on~ th~ Eacilitiesr then
<br />Grantee s~all remove the cart path an~ restore ~he area to the
<br />same condition a~ the surrounding areas. ~:~.~

<br /> &. EDtire Agreement. This instrument contains the entire
<br />agreement ibetween the par%les rela:ing tO the rights herein
<br />granted ~nd the obligations herein assumed. Any oral
