3.4.2 Rights with respect to a Neighborhood membership shall be exercised <br />by the Neighborhood Board on behalf of the Own.ers whose Units are located in the <br />Neighborhood. <br />3.4.3 No Person holding a security interest in any part of the Property shall be <br />a Member of the Master Association solely by reason of such interest <br />3.4.4 Additional memberships in the Master Association may be created only <br />by (I) subjecting additional property to this Master Declaration, and for any portion of <br />the additional property that consists of Residential Units, designating the annexed <br />property as one or more Neighborhoods, or 00 by subdividing_a Neighborhood or a <br />Nonresidential Unit, all in .accordance with this Master Declaration. <br />3.4.5 Memberships may be combined upon the combination or divided upon <br />the division of one or more Neighborhoods or Nonresidential Units as provided in <br />Section 3.3.2. One membership shall attach to each surviving Neighborhood <br />Association, Nonresidential Unit, or Residential Rental Unit. <br />3.5 Member Vi)ting. Each Neighborhood Association shall be entitled to one vote <br />in the affairs of the Master Assooiation. The owner of each platted lot upon which a <br />Nonresidential Building is located or intended to be located, including outlots, or a Residential <br />Rental Unit, shall be entitled to one vote in the affairs of the Master Association for each such <br />platted lot owned. The vote shall be exercised by the Member as provided in the Master <br />Bylaws. <br />3.6 Master Bylaws . The Master Association shall have Master Bylaws. <br />The Master Bylaws shall govern the operation and administration of the Master Association, <br />subject to this Master Declaration in the event of a conflict. The Master Bylaws shall be <br />binding upon all Members, Owners and Occupanis, and their invitees, all secured parties and <br />all other Persons holding oi acquiring any interest in the Property. <br />3.7 Master Board of Directors. The Master Associations affairs shall be <br />administered and managed by the Master Board of Directors, as provided in the Master <br />Bylaws. Directors shall be elected, serve and exercise their powers as provided in the Master <br />Bylaws. <br />3.8 Sco e and Bj.i4iig Effect of Actions.
