CERTIFICATE OF BOND REGISTRAR <br />AND AUTHENTICATING AGENT <br />I, Lori A. Giampaolo, do hereby certify that I am the Chief Operating Officer, duly <br />appointed and acting as such, of Northland Trust Services, Inc., located in the City of <br />Minneapolis, Minnesota (the "Bond Registrar"). <br />1. Pursuant to authorization by, and direction of, the City of Ramsey, Minnesota, <br />certain of the authorized officers listed on the attached Exhibit A have this day authenticated <br />each of the bonds of the above bond issue, being fully registered bonds in the denominations <br />equal to the total principal amount of the bond issue due on the specified maturity date therefor <br />and bearing the bond numbers of R-1 and upward and have caused each of said bonds to be <br />registered in the name of a "person" as defined in Section 1-201 of the Uniform Commercial <br />Code, all in accordance with the provisions of the resolution adopted by the City Council of the <br />City of Ramsey, Minnesota, on April 24, 2012 (the "Resolution"). <br />2. The authorized officers who have signed the bonds have been duly authorized to <br />sign said bonds on behalf of the Bond Registrar acting as authenticating agent. <br />3. To the best of our knowledge the provisions of any bond registrar's agreement to <br />be entered into between the City and the Bond Registrar will not conflict with the provisions of <br />the Resolution with respect to the duties and responsibilities of the Bond Registrar set forth <br />therein. <br />4.
