c(--)`t I(� <br />SUBLEASE AGREEMENT <br />THIS SUBLEASE AGREEMENT, dated this 3 day of November, 2012, (this "Sublease") <br />is by and between Independent Auto Service Inc., a Minnesota corporation, 6745 Highway 10 <br />NW, Ramsey, Minnesota 55303 (the "Sublessor) and First Choice Towing and Recovery, Inc., a <br />Minnesota corporation, 16450 Nowthen Boulevard NW, Ramsey, Minnesota 55303 (the <br />Sublessee). <br />PROPERTY. The Subleased Property is a part of the property located at 6745 Highway 10 <br />NW, Ramsey, Minnesota and consists of 240 s.£ of front office space, two indoor parking spaces <br />in the first repair bay all in the building on the Subleased Property, and ten outside parking <br />spaces in a secured fenced area between the Subleased Property building and the building located <br />at 6701 Highway IQ NW, Ramsey, Minnesota. (see attached fig. A). <br />1. TERM: <br />A. Sublease Term. Sublease term is a period of 32 months commencing on the first day <br />of December, 2012 and terminating July 31, 2015. The "Expiration Date" as used <br />herein is July 31, 2015. <br />B. Option to Renew. Sublessee is granted an option to extend this Sublease for an <br />additional 24 month term after the Expiration Date if the Sublessee has continuously <br />occupied the Subleased Property, on the same terms and conditions of this Sublease. <br />Sublessee shall notify Sublessor in writing at least sixty (60) days before the <br />Expiration Date of its intent to exercise this Option to Renew. <br />C. Sublessor's Notice to Quit. Notwithstanding the Sublease Term or the Option to <br />Renew term, the Sublessor in its sole discretion upon 60 days prior written notice to <br />Sublessee may give notice to Sublessee that this Sublease is terminated and upon the <br />effective date of the Notice, this Sublease shall be terminated. <br />2. BASE RENT. Sublessee shall pay Sublessor a total rent payment for the Subleased <br />Property on the first day of each month in equal monthly installments according to the <br />following schedule: <br />December 1, 2012 $300.00/mo <br />January, 2013 — July, 2014 $500.00/mo <br />3. ORIGINAL LEASE. This Sublease Agreement incorporates and is subject to the <br />original lease agreement between the Sublessor as Tenant and the City of Ramsey as <br />Landlord which lease is dated January 27, 2012, a copy of which lease is attached hereto <br />and incorporated as if it were set out here at length. Sublessee agrees to assume all of the <br />obligations and responsibilities of the Sublessor under the original lease dated January <br />27, 2012, for the duration of this Sublease Agreement. <br />1 <br />
