RIGHT OF ENTRY AGREEMENT <br />THIS RIGHT OF ENTRY AGREEMENT (the "Agreement"), is made and <br />entered into effective as of the 5tn day of August, 2013, by and between, CITY OF <br />ANOKA ("Grantor") and LANDMARK OF ANOKA, LLC ("Grantee"). <br />WHEREAS, Grantee wishes to enter in and upon certain real property owned by <br />Grantor for the limited purpose stated below. <br />WHEREAS, Grantor wishes to grant to Grantee a temporary license to enter in and <br />upon its real property, subject to the conditions below. <br />NOW THEREFORE, the parties agree as follows: <br />1 License to Enter. Grantor hereby grants to Grantee a temporary license to enter in <br />and upon Grantor's property legally described and visually depicted as set forth in Exhibit A <br />attached hereto and made a part hereof (the "Property") for the purpose of grading, tree <br />removal and erosion control. <br />The license may be exercised by Grantee through its employees, agents and contractors. <br />No other activity, except as expressly stated above, is permitted. <br />2. No Interference. Grantee shall not unreasonably interfere with the operation of <br />Grantor's business at the Property. Grantee's materials and equipment shall not be placed <br />or stored on the Property without prior permission from Grantor. Grantee acknowledges <br />and agrees that Grantor shall not be liable for loss of or damage to Grantee's materials <br />and equipment from any cause and that Grantor may move, or require Grantee to move, <br />at Grantee's expense, such material and equipment. <br />3. Insurance. Prior to entering the Property, and during the term of this Agreement, <br />Grantee shall, at its own expense, take out and keep in full force and effect such <br />insurance as Grantor may from time to time request, including but not limited to, <br />comprehensive general liability, motor vehicle liability, environmental impairment and <br />employer's liability coverages. The policies shall have coverages in such amounts <br />and be in such form as Grantor shall approve, shall name Grantor as an additional <br />insured and may not be cancelled, terminated or materially changed without at least <br />thirty (30) days prior notice to Grantor. Failure to obtain or maintain insurance as <br />requested by Grantor is cause for immediate termination of this Agreement <br />4. Compliance with Federal, State, and Local Regulations. Grantee shall secure, at <br />Grantee's own expense, any permits or licenses required by Federal, State or Local laws <br />or ordinances and shall comply with all applicable laws, including but not limited to any <br />laws, regulations, standards and permit requirements relating to environmental pollution <br />or contamination or to occupational health and safety.
