Section 10.82.5. Secretau', The secretary shall keep a true and comp;ere record of proceedings of the Board and shall, at the discretion of thc Board, prepare a~ notices, repons, written decisions, recommendations, and such other writings as the Board may direct. SECTION 10.83 MEETINGS Section 10.83.1. Annual Meeting. The Annual Meeting of the Board shall be held each year on the second Monday in January. '~' ' :'::~" ........... Section 10.83.2. Retmlar-Meeting,. Regular meetings of-the Board shall be held on ?:i2-.. '; :..:-.... ~.:~t-~.;~ notice from the secretary withih ten (10) working days after an appeal is fried with the Board. If ,~-..~..,.,s~- additional time is xv, quimd, an extension to the ten (10) working days may be granted with approval of the chairperson. Section 10.83.3. Special Meeting. Special meetings of the Board may be called by the chairperson, vice-chairperson, or any two members of the Board by written notice filed with the secretary who shall notify all members of the time and place of a special meeting as hereinafter provided. Section 10.83.4. Adjourned Meeting. Any meeting of the Board may be adjourned from time to time to a specified time without additional notice except that members not then in attendance shall be notified of the adjourned meeting. Section 10.83.5. Notices. Notices in writing specifying the time and place for the Annual Meeting shall be sent to all members. All persons who have filed appeals to be heard by the Board shall be notified of the regular meeting at which the hearing shall be held, and all members of the Board shall be notified of regular and special meetings. Notices for regular and special meetings shall be given by such means (mail, personal service or telephone) as will provide for notification at least three (3) working days in advance of the meeting. SECTION 10.84 QUORUM AND VOTE Section 10.84.1. Ouorum. Three members of the Board shall constitute a quorum for all purposes, but a lesser number may adjourn a meeting from time to time until a quorum is present. ................. Section' 10.84.2. Vote. Except as provided in Section I of this section, all action taken ...... ....... by..the Board shall be by a majority vote of all members of the Board. Section 10.84.3. Manner of Voting. The manner of voting on all questions deciding matters involved in an appeal shall be by roll call of the members in attendance. The voting on all other questions before the Board shall be by voice vote. The results of all votes shall be recorded in the minutes. Any member of the Board who refuses to vote on roll call shall be recorded as voting in the negative. An abstention shall not be recorded as a negative vote if the member abstaining believes that a conflict of interest exists because of his direct involvement in the subject matter under appeal. The chairperson and all members of the Board shall be entitled to vote at every meeting at which they are in attendance.
